Employee may perform other related duties as required to meet the ongoing needs of the organization.
Essential Responsibilities:
Review commercial agreements and draft revisions and modifications to ensure compliance with corporate policies and processes Identify areas of risk or non-compliant terms of commercial agreements in accordance with corporate policies and parameters Present and explain contract conditions and rationale for contract modifications to business partners and management Collaborate with sales team and other internal business partners on contract details to reach a compliant agreement Negotiate terms and conditions of contracts with external customers Ensure all referenced parts of the contract are provided and acceptable (insurance certifications, bonds, lien waiver forms, etc.) Develop and maintain digital systems of contracts, related documents, and records Maintain awareness of contract law and regulatory changes that affect the contract process Provide support to Corporate Counsel and legal department as needed or assigned
Essential Skills:
Bachelor's degree; at least two years of related experience and/or training; or equivalent combination of education and experience. Understanding of basic contract law concepts. Paralegal certificate and experience working in a corporate legal department a plus. Ability to read, analyze, and interpret plans, specifications, common scientific and technical journals, financial reports, and legal documents. Ability to interpret an extensive variety of technical instructions. Ability to apply common sense understanding to carry out instructions furnished in written, oral, or diagram form. Ability to deal with problems involving several concrete variables in standardized situations.
