About the Firm A rapidly growing US-based law firm specializing in private equity and M&A, with offices across four States. The platform is highly focused on financial sponsor clients, advising private equity funds and their portfolio companies across the full investment lifecycle-from acquisitions and financing through to exits. Private equity buyouts and investments M&A (platform acquisitions, bolt-ons, exits) Growth equity and structured investments Leveraged finance and recapitalizations About the Role Advise private equity sponsors and their portfolio companies across the full deal lifecycle on a broad range of middle-market M&A transactions, including platform investments, leveraged buyouts, bolt-on acquisitions, and sponsor-to-sponsor exits. Work closely with clients from initial evaluation and structuring through to execution and completion, supporting high-volume deal activity across multiple sectors and transaction types. Key Responsibilities Execute end-to-end M&A transactions, including platform acquisitions, bolt-on acquisitions, leveraged buyouts, and sponsor-to-sponsor exits Draft and negotiate primary transaction documentation, including purchase agreements and ancillary documents Lead and coordinate multi-stream due diligence processes across legal, financial, and commercial workstreams Work closely with private equity clients, management teams, and financial advisors on deal structuring and execution Advise on growth equity and structured minority investments in high-growth businesses Support complex transactions, including carve-outs and real estate-integrated deals Transaction Experience Middle-market private equity transactions Platform investments and add-on acquisitions across business services, technology, healthcare, and industrials Leveraged buyouts and portfolio company exits Strategic mergers and corporate carve-outs Growth equity and structured capital investments
