Job Description

A growing Cleveland law firm is seeking a Senior Mergers and Acquisitions Associate with 4 or more years of experience to join its expanding Corporate and M&A Practice Group. This role is ideal for an attorney who wants to work directly with business owners, investors, and executives on sophisticated transactions while growing toward partnership in a collaborative, business‑focused environment. The firm offers strong mentorship, hands‑on training, and meaningful opportunities to make an impact. Responsibilities Represent buyers and sellers in middle‑market M&A transactions, including stock and asset deals Draft, review, and negotiate purchase agreements, disclosure schedules, LOIs, term sheets, and ancillary transaction documents Conduct and manage legal due diligence, coordinate with financial and tax advisors, and prepare diligence reports Advise clients on corporate governance, entity structuring, shareholder matters, and general business issues Support private equity, venture capital, and closely held business clients across diverse industries Manage transactions independently while collaborating with partners and cross‑practice teams Provide practical, business‑oriented guidance and maintain strong client relationships Assist with business development efforts and contribute to practice growth Qualifications 4 or more years of M&A or corporate transactional experience Strong drafting, negotiation, and analytical skills Experience managing deal flow, due diligence, and closing processes Ability to handle multiple transactions and deadlines with minimal supervision Excellent communication and client‑service skills Ohio Bar required or ability to waive in Motivated, professional, and eager to grow within a dynamic practice Compensation and Growth 1600 billable hour minimum Bonus eligibility for performance above 1600 hours, including productivity bonuses, client service bonuses, and discretionary merit bonuses Competitive compensation with strong earning potential Clear partner track with structured mentorship and professional development Hybrid work environment with flexibility and autonomy
Pay:
$130,000.00 - $200,000.00 per year
