The Team Our National Tax Office (NTO) provides clients with access to domestic and global tax experts to advise clients on complex tax issues and deliver insights on evolving regulations and other tax developments. Our group of seasoned professionals are trained across all tax disciplines to advise clients on current and future needs. A&M Tax relies on the deep technical expertise its NTO professionals bring, to help our clients and professionals. Our NTO group also helps foresee potential future implications by closely monitoring the ever-changing tax law, regulations and emerging trends to alert clients and A&M professionals on changes in the industry to help navigate them seamlessly. Due to our increased growth across the Tax practice, we are seeking a Director to join our NTO team. How you will contribute Deliver sophisticated tax counsel to investment funds, portfolio companies, and strategic clients, guiding them through the structuring and negotiation of private and public M&A transactions, spin-offs, debt restructurings, preferred investments, financing arrangements, joint ventures, and both debt and equity offerings. Advise on complex bankruptcy and insolvency restructurings, including fund-related tax matters such as structuring, fund formation, upper-tier arrangements, and operational issues. Lead and mentor the creation and implementation of innovative tax planning strategies, ensuring timely, responsive, and high-quality service that consistently exceeds client expectations. Oversee due diligence processes, identifying tax risks and opportunities through comprehensive review of tax returns and financial statements. Design and implement post-merger integration strategies, collaborating across teams to optimize tax outcomes and operational efficiency. Review and analyze complex tax models, including asset and stock basis calculations, gain or loss on asset and stock sales, purchase price allocations, cancellation of debt income (CODI), availability and magnitude of worthless stock deduction (WSD), attribute reduction, cash tax forecasts, transaction cost allocations, and related areas. Provide expert guidance on restructuring tax issues, preparing detailed technical memos and client presentations. Conduct thorough research and analysis of relevant tax and bankruptcy code sections and regulations, preparing comprehensive technical memos and client presentations. Prepare detailed financial summaries and management presentations for both public and private companies, supporting data-driven client communications. Provide high-level tax consulting services across A&M Tax practices, collaborating to deliver integrated tax advice. Lead market and business development activities to expand the firm's client base and influence. Play a pivotal role in the continued growth of A&M Tax's National Tax Office (NTO).Qualifications Licensure:
Must hold an active CPA license (MST or M.Acc. preferred) or be admitted to a bar (LL.M. in Taxation preferred).Experience:
7-10+ years of progressive transactional tax consulting experience at a law or CPA firm, Department of the Treasury, or IRS Chief Counsel.Skills:
Strong writing, analytical, research, and organizational skills. Excellent communication, presentation, project management, and business development skills. Sense of personal motivation and responsibility, with the ability to work constructively as a team member. Ability to thrive in a dynamic, time-sensitive environment. Capability to manage, develop, and mentor staff in a collaborative team setting.Tax Knowledge:
An understanding of increasingly complex tax concepts and the ability to effectively apply tax knowledge to meet client's goals. Experience with tax-free reorganizations, consolidated groups, partnerships, and international corporate transactions is preferred.Client Relationships:
A demonstrated track record of developing and maintaining existing internal and external client relationships, as well as building new relationships.Location :

The salary range is $165,000 - $200,000 annually, dependent on several variables including but not limited to education, experience, skills, and geography. In addition, A&M offers a discretionary bonus program which is based on a number of factors, including individual and firm performance.
