Overview:
A Dallas-based boutique law firm is seeking a full-time Corporate Transactions Associate Attorney to join our growing team. This is an excellent opportunity for a recent graduate or junior associate interested in corporate law, M&A, real estate, capital markets, and healthcare regulatory matters. You'll work on high-impact deals with experienced attorneys in a fast-paced, hands-on environment.
Key Responsibilities:
Draft, review, and negotiate a wide range of legal agreements, including: Master services agreements (MSAs) Nondisclosure agreements (NDAs) Professional services agreements Employment and contractor agreements Conduct in-depth legal research and prepare memoranda, client advisories, and internal guidance Support M&A transactions by performing buyer- and seller-side due diligence and assisting in deal structuring and documentation Assist with securities offerings, capital markets transactions, and commercial lending matters Prepare and maintain corporate governance documents, entity formation materials, and compliance filings Advise executives, boards of directors, and management on legal risks, business strategy, and contract interpretation
Qualifications:
J.D. from an accredited law school Licensed to practice in Texas (or able to obtain promptly) 0-2 years of relevant legal experience Strong attention to detail and organization Excellent legal research, writing, and communication skills Ability to manage multiple matters under deadlines Law review or journal experience preferred
Work Location:
In-person at our Dallas, TX office Candidates must be able to reliably commute or plan to relocate before starting
