Job Description

Summary:
The Manager of Administration and Compliance provides comprehensive oversight of the Company's administrative, compliance, and contract administration functions while delivering advanced legal and operational support to the Legal and Risk Department. This role supports the Company and its subsidiaries by managing contract lifecycle processes, assisting with corporate governance, ensuring regulatory and policy compliance, and supporting day‑to‑day legal operations. The role requires strong organizational skills, attention to detail, sound judgment, and the ability to manage multiple priorities while handling sensitive information with discretion. Essential duties and responsibilities (include but are not limited to): Legal Support & Administration Support the General Counsel in all aspects of Legal and Risk Department operations. Draft, review, and manage a variety of legal documents, including contracts, amendments, NDAs, corporate resolutions, and correspondence. Maintain and organize legal files, contract databases, and document management systems. Coordinate execution, storage, and tracking of contracts and legal documents. Support legal department workflows, calendars, deadlines, and administrative processes. Prepare reports, presentations, and summaries for the General Counsel and leadership. Perform other duties as assigned in support of the Legal and Risk Department. Contract Administration & Transactional Support Manage the administration of contracts across the organization, including tracking, organization, renewals, amendments, and termination dates. Coordinate the review, drafting, execution, and storage of contracts with vendors, customers, suppliers, and service providers, in collaboration with leadership and outside legal counsel as needed. Maintain a centralized contract repository and ensure contracts are accurately documented, accessible, and compliant with Company standards. Track contract status, key terms, renewal dates, and contractual obligations. Assist internal stakeholders in understanding contractual requirements, risks, and obligations. Corporate Governance Assist with preparation of Board of Directors and committee materials, including agendas, resolutions, minutes, consents, and supporting documentation. Maintain corporate records, entity documents, and statutory filings. Support compliance with corporate governance requirements and internal policies. Perform administrative support for Board and committee meetings, including tracking action items and maintaining records. Litigation & Risk Management Support litigation and dispute matters, including document collection, discovery coordination, and matter tracking. Assist with responses to subpoenas, audits, and regulatory inquiries. Maintain litigation calendars, deadlines, and matter summaries. Support insurance administration and documentation in coordination with risk management, including record retention. Regulatory & Compliance Support Assist with monitoring and maintaining compliance with federal, state, and local laws, regulations, and internal policies. Support the development, implementation, and ongoing maintenance of Company compliance programs, policies, and procedures. Assist with internal investigations, policy updates, and compliance initiatives. Review Company policies, programs, and administrative practices to ensure alignment with regulatory requirements and organizational objectives. Coordinate compliance training materials and documentation as needed. Promote a culture of compliance, accountability, and sound administrative practices throughout the organization. External Counsel & Stakeholder Coordination Serve as a point of contact for administrative and compliance matters across the organization. Liaise with outside counsel, vendors, and internal business partners, as required. Assist with coordination of outside legal counsel on contract review, compliance matters, and other legal needs, including monitoring time and cost where applicable. Assist with legal budgeting, invoice review, and legal spend tracking.

Qualifications:

Position requires:
Strong experience in contract administration, compliance, or administrative management. Ability to review, organize, and manage contractual documents and related processes. Ability to build consensus and work collaboratively with stakeholders at all levels of the organization. Ability to handle sensitive and confidential information with discretion. Ability to manage multiple priorities and deadlines effectively. Education and/or Experience Associate's degree is preferred; however, candidates with sufficient related experience in lieu of a degree will be considered. Five (5) to seven (7) years of progressive experience in administration, compliance, contract administration, or a related function. Experience working with contracts, compliance programs, and corporate documentation in a business environment. Language Skills Ability to read and interpret documents, operating and maintenance instructions, and procedure manuals. Excellent written and oral communication skills including the ability to present information to diverse audiences. Mathematical skills Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, common fractions, and decimals. Ability to compute rate ratio, and percent and to draw and interpret bar graphs. Reasoning Ability Strong analytical ability with an ability to pursue both traditional and new approaches to business issues and the law.
