JOB SUMMARY
The primary function of the Vice President, Compliance is to oversee and manage compliance within the organization, ensuring that the Company and its employees comply with the established policies of the Company, including but not limited to the Company's Code of Conduct, as well as applicable laws, to prevent illegal, unethical or improper conduct. As the Company has extensive operations worldwide, this role requires regular contact with overseas employees and foreign jurisdictions. The Vice President, Compliance will be expected to foster a culture that encourages managers and employees to report suspected fraud and other improprieties without retaliation. The Vice President, Compliance will also be required to confront difficult issues and challenges with strong negotiating and conflict resolution skills, communicating with diplomacy and tact.
ESSENTIAL DUTIES AND RESPONSIBILITIES
include but are not limited to the following activities: Develop, maintain and revise policies and procedures for the general operation of the compliance program and its related activities Develop and execute the compliance training program for all Company employees, including the Company's annual Compliance Week Perform and oversee the performance of extensive due diligence regarding the Company's business partners, customers, vendors, certain consultants and other parties. Maintain the Company's ethics hotline and investigate and respond to compliance-related reports received via the hotline and other means. Assist the General Counsel in reporting on compliance activities to the Company's board of directors Review and comment on compliance clauses in the Company's contracts Research and draft legal memoranda regarding the impact of US and foreign regulations on the Company's activities Supervise the work of outside compliance counsel and manage expenditure. Monitor the performance of the compliance program and related activities on a continuing basis, taking appropriate steps to improve its effectiveness Coordinate with the Internal Audit function, including on the Company's Enterprise Risk Management (ERM) program. Oversee the work of the Compliance Analyst and provide direction. 2-3 international trips per year to provide training
QUALIFICATIONS, EXPERIENCE, AND EDUCATIONAL REQUIREMENTS
Bachelor's Degree Minimum of 7+ years' relevant experience in the compliance department of a US publicly traded company, including 2+ years as head or senior member of compliance function Knowledge of relevant US regulations, including the US Foreign Corrupt Practices Act, US Foreign Agent Registration Act, as well as sanctions, anti-money laundering and lobbying regulations Excellent written and oral presentation skills. Ability to build smooth working relationships across all business functions. Working Conditions The work environment characteristics described here are representative of those an employee encounters while performing the essential functions of this job. Work is performed primarily on-site at The Woodlands corporate office. Typically, 2-3 international trips per year are required. The noise level in the work environment is usually moderate.
