Davis Graham & Stubbs LLP is seeking a talented and motivated associate with 2-5 years of experience to join its nationally recognized Asset Management and Corporate Practice Group. This is an exceptional opportunity to work alongside seasoned practitioners on sophisticated transactional and regulatory matters in a collegial, collaborative environment. The successful candidate will interact with a diverse roster of clients on the full spectrum of corporate and securities law matters affecting the investment management industry. Representative matters include the formation, structuring, and ongoing regulatory compliance for open-end and closed-end mutual funds, exchange-traded funds, private investment funds (including hedge funds, private equity funds, and venture capital funds), and SEC- and state-registered investment advisers. The position offers meaningful client contact from day one, with increasing responsibility commensurate with the candidate's skill and initiative. The associate in this role will counsel fund sponsors and investment advisers on regulatory and transactional matters arising under the Investment Company Act of 1940, the Investment Advisers Act of 1940, and applicable state securities laws. The role also includes drafting and negotiating offering documents, partnership and operating agreements, advisory contracts, and compliance policies, as well as advising on governance, disclosure, and operational issues that arise in the day-to-day management of investment products. Candidates must possess excellent legal writing and analytical skills, superior academic credentials, and a demonstrated ability to communicate complex regulatory concepts clearly and persuasively. Strong verbal and interpersonal skills are essential, as the position involves regular direct interaction with clients, fund boards, and regulatory bodies. The ideal candidate is a self-starter who thrives in a fast-paced environment, manages multiple priorities effectively, and is committed to delivering exceptional client service.
