full-time A leading commercial finance organization is seeking a Legal Counsel to support equipment finance, lending, leasing, and commercial transactions across its North American operations. This role serves as a strategic business partner, providing practical legal guidance on complex financing transactions, regulatory compliance, supplier management, and risk mitigation. Key Responsibilities Draft, review, and negotiate equipment finance, loan, lease, capital markets, vendor program, and other commercial agreements. Advise business teams on transaction structuring, legal risk, and commercial objectives. Monitor and interpret federal and state regulatory developments affecting commercial lending, leasing, consumer protection, and data privacy. Support supplier management and third-party risk initiatives, including contract negotiations and dispute resolution. Partner with Compliance, Risk, Credit, Operations, and Sales teams to address legal and regulatory matters. Assist with investigations, litigation management, and outside counsel oversight. Contribute to legal department operations, including contract templates, legal technology, AI tools, and process improvement initiatives. Qualifications J.D. and active Illinois bar license (or ability to obtain in-house counsel registration). 5+ years of experience in commercial finance, equipment leasing, secured lending, or related transactional practice. Strong knowledge of commercial contracts, UCC Articles 2A and 9, equipment finance, lending, and leasing transactions. Experience advising on regulatory and compliance matters, including data privacy and financial services regulations. Excellent drafting, negotiation, analytical, and business counseling skills. Ability to balance legal risk with business objectives in a fast-paced environment.
