Job Description
Description We are looking for an experienced Business Attorney to join an established and reputable legal team in Napa, California. This role offers the opportunity to work on a variety of sophisticated business transactions, providing tailored and effective legal solutions to clients ranging from regional businesses to multinational corporations. The ideal candidate will bring a wealth of expertise in corporate law and a commitment to delivering exceptional client service. Responsibilities:
- Provide legal counsel on business formation, transaction structuring, and compliance with relevant regulations.
- Draft, review, and negotiate contracts, shareholder agreements, and other legal documents.
- Assist clients in mergers and acquisitions, securities offerings, and private placements.
- Collaborate with estate planning professionals on succession planning matters.
- Conduct analysis of debt structures and advise on banking and credit facilities.
- Develop practical solutions to complex legal challenges for clients in various industries.
- Represent clients at local, national, and international levels in business-related matters.
- Ensure compliance with corporate governance standards and regulatory requirements.
- Support clients in the development of equity incentive plans and other financial agreements.
- Stay updated on legal trends and apply insights to improve client outcomes. Requirements
- Juris Doctor (JD) degree with active membership in the state bar.
- Minimum of 5 years of experience practicing business law, ideally within a law firm.
- Strong expertise in entity formation, mergers and acquisitions, and corporate contracts.
- Excellent drafting, negotiation, and communication skills.
- Proven ability to manage complex legal transactions and deliver results in a fast-paced environment.
- Familiarity with securities offerings, private placements, and succession planning is highly desirable.
- Demonstrated ability to work collaboratively with multidisciplinary teams.
- Commitment to providing client-focused and cost-effective legal solutions.
