Description:
Fox Rothschild has an opening in the San Francisco office for a Mid-Level Corporate Associate to join our dynamic team and handle a broad range of corporate, commercial, and transactional matters. This attorney will work on business transactional matters, including outside general counsel matters for corporations and pass-through entities, commercial contracts, entity governance, ownership transition, entity formations and financings, and with a particular emphasis on mergers and acquisitions transactions. The ideal candidate will have at least four to six years of experience at a large law firm, practicing in a sophisticated legal environment, and will have an interest in supporting senior attorneys and a desire and aptitude to work closely with clients, while developing a practice. We are not currently accepting resumes from search firms for this position.
Qualifications:
Juris Doctorate (JD) required. Must be licensed to practice law in the State of California.
Knowledge, Skills, and Abilities:
Superior academic record and excellent writing skills required. Strong drafting, negotiation, and analytical abilities. Experience with mergers and acquisitions, corporate governance, securities law compliance, corporate formations. Independently manages significant portions of transactions, including demonstrated ability to manage deal teams of other associates and subject matter experts. Work Environment & Physical Demands This job operates in a clerical, office setting. This role routinely uses standard office equipment including, but not limited to computers, telephones, printers, and copiers.
Physical Requirements Sedentary work:
Exertion of physical strength to lift, carry, push, pull, or otherwise move objects up to 10 pounds. Work involves sitting most of the time. Walking and standing is often necessary in carrying out job duties. Visual Acuity Worker is required to have close visual acuity to perform an activity such as: preparing and analyzing data and figures; transcribing; viewing a computer terminal; extensive reading.
Compensation & Benefits :
The salary range for this position applies to California. The salary range reflects a variety of factors that are considered in making compensation decisions, including but not limited to experience, education, licensure and/or certifications, geographic location, market demands and other business and organizational needs. It is not typical for an individual to be hired at or near the top of the range for a position. A reasonable estimate of the current range for this position is $230,000-$250,000.
