Job Description
We are looking for an experienced General Counsel to provide strategic legal guidance across real estate operations and broader corporate matters in Sausalito, California. This role will partner closely with business leaders to support transactions, manage legal risk, and advise on governance, contracting, and property-related issues. The ideal candidate brings sound judgment, strong negotiation skills, and the ability to translate complex legal concepts into practical business recommendations.
Responsibilities:
- Serve as the primary legal partner for real estate matters, offering counsel on acquisitions, dispositions, leasing, and other property-related transactions.
- Prepare, review, and negotiate a wide range of agreements to protect company interests while supporting business objectives.
- Advise internal teams on legal exposure, transaction structuring, approval requirements, policy considerations, and negotiation approach.
- Provide legal guidance on property management matters, including operational issues that may affect compliance, rights, or risk.
- Establish and maintain legal entities as needed to support business activities and organizational structure.
- Support corporate governance efforts by helping maintain records, entity compliance, and required filings with applicable state and local authorities.
- Work with company stakeholders and external advisors to evaluate deal terms and develop contract language that accurately reflects agreed business arrangements.
- Analyze executed and proposed agreements to confirm obligations are clear, actionable, and capable of being administered effectively after signing.
- Contribute to the ongoing enhancement of templates, legal documentation standards, and contracting processes to improve consistency and efficiency.
