Job Description

We are seeking an attorney with strong securities law and corporate governance experience and meaningful exposure to M&A and/or real estate matters to join our collaborative and high-performing in-house legal team. The Senior Corporate Counsel - Corporate & Securities will provide legal support across a wide range of corporate law matters. This attorney will be responsible for managing securities law compliance, including SEC reporting obligations, while also supporting M&A, corporate governance, treasury and real estate matters. Ideally this role will be based at the Jacobs office in Dallas, Texas but hybrid/remote candidates will be considered. Core Responsibilities Prepare, review, and manage the company's SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, registration statements and Section 16 filings, and advise on general securities law matters, including compliance with SEC rules and regulations and NYSE requirements. Advise on investor relations communications, including earnings releases, call scripts, investor presentations, and other market-facing materials. Manage processes related to the annual stockholder meeting, including proxy distribution, virtual meeting logistics and investor/proxy advisor outreach. Assist with Corporate Secretary duties, including preparing board and committee materials, minutes and resolutions, and advising on corporate governance policies and practices. Work closely with internal stakeholders on corporate matters to support the Company's strategy and growth initiatives. Support M&A transactions, including due diligence, negotiation, structuring, and post-closing integration, and advise on any Securities Act matters related thereto. Assist with real estate matters, including reviewing, drafting, and negotiating real estate agreements and assisting with ongoing real estate asset management activities. Assist with treasury related tasks, including monitoring debt compliance, managing bank accounts, negotiating and monitoring supply chain financing and drafting inter-company agreements. Comfort with respect to various aspects of international business from traveling, communicating and working with clients and colleagues abroad to engaging with foreign legal systems. Juris Doctor (J.D.) from an accredited U.S. law school; admission to practice in at least one U.S. jurisdiction. At least 6 years of relevant legal experience, preferably at a nationally or regionally recognized law firm (in-house experience with a public company a plus). Extensive background in corporate and securities law, including advising on compliance with SEC rules and regulations, NYSE listing requirements, and corporate governance best practices. Must have strong working knowledge of SEC disclosure requirements relating to financial reporting matters, including non-GAAP measures.
