POSITION SUMMARY
We are seeking a highly skilled and experienced Corporate Counsel to join our team. This attorney will serve as a key legal advisor on matters critical to our government contracting business, with primary responsibility for Federal Acquisition Regulation (FAR) compliance, False Claims Act (FCA) defense and risk mitigation, and Government Accountability Office (GAO) bid protest proceedings. The ideal candidate will thrive in a fast-paced government contracting environment, balancing regulatory risk management with practical business support. This is a high-impact position for a strategic attorney who can translate complex federal rules into actionable advice for contracts, operations, and leadership teams. This role offers the opportunity to work at the intersection of complex regulatory compliance, litigation, and corporate strategy in a fast-paced, mission-driven environment.
DUTIES & RESPONSIBILITIES
Federal Procurement & Regulatory Compliance Serve as the organization's subject matter expert on the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), and agency-specific supplements. Advise on contract formation, administration, modifications, teaming agreements, subcontracting, and closeout. Monitor regulatory developments and assess impact on existing and prospective contracts. Support proposal development by reviewing solicitations, representations and certifications, and terms and conditions. False Claims Act & Government Investigations Lead or support the defense of False Claims Act (FCA) investigations, qui tam actions, and related government inquiries. Conduct and oversee internal investigations related to potential compliance violations. Develop and implement whistleblower response protocols and coordinate with outside counsel as needed. Advise on voluntary disclosure obligations and coordinate submissions to agency Suspension and Debarment Officials (SDOs). GAO Bid Protests & Disputes Advise on bid protest strategy at the GAO, Court of Federal Claims (COFC), and agency levels. Draft and review protest filings, agency responses, and corrective action plans. Counsel on contract disputes, claims under the Contract Disputes Act (CDA), and appeals before the Armed Services and Civilian Boards of Contract Appeals. Employment & Benefits Law Advise on employment law matters applicable to a federal contractor workforce, including compliance with the Service Contract Act (SCA), Davis-Bacon Act, and Executive Orders on minimum wage and paid leave. Support HR on matters related to the Affordable Care Act (ACA), required benefits, and employee classification issues. Review and update employment policies, offer letters, separation agreements, and related documentation. Corporate Governance & General Legal Support Draft, review, and negotiate a wide range of commercial and government contracts. Support corporate transactions including M&A due diligence related to government contract novation and assignment. Advise on corporate compliance programs, internal controls, and risk mitigation strategies specific to government contractors. Provide legal support on ethics and compliance program development and training. Advise on insurance, indemnification, and risk allocation matters. Collaborate cross-functionally with contracts, compliance, HR, and business development teams to support proposal efforts, contract performance, and strategic initiatives.
Job Requirements:
REQUIRED QUALIFICATIONS
Juris Doctor (J.D.) from an ABA-accredited law school. Active bar license in good standing (state of primary practice; ability to obtain admission as needed). Minimum 6-10 years of experience in government contracts law, with substantial in-house or law firm experience advising on
FAR/DFARS
compliance. Demonstrated experience handling or supporting False Claims Act matters, including qui tam defense, internal investigations, or voluntary disclosures. Experience with GAO bid protests, COFC proceedings, or Contract Disputes Act claims. Strong drafting, negotiation, and analytical skills with the ability to communicate complex legal issues including contracts and agreements clearly to non-legal stakeholders. Ability to manage multiple priorities and work independently in a fast-paced environment. Proven ability to work independently, manage multiple priorities, and deliver practical, business-oriented solutions in a deadline-driven environment.
DESIRED QUALIFICATIONS & SKILLS
The following qualifications are highly valued but not required. Candidates who bring some — or especially all — of these capabilities will be considered exceptionally competitive. Experience advising on the Affordable Care Act (ACA), employee benefits compliance, ERISA, and federal contractor benefits obligations, including those under the Service Contract Act. Familiarity with Cybersecurity Maturity Model Certification (CMMC) requirements, including
CMMC 2.0
rulemaking, self-assessments, C3PAO processes, and Plan of Action & Milestones (POA&M) obligations. Candidates with both FAR/FCA depth and CMMC knowledge are rare and will be given strong preference. Experience with security clearance matters, facility clearances (FCLs), and DCSA compliance. Background in intellectual property protections applicable to government contracts, including technical data rights under DFARS 252.227 and software licensing. Experience supporting or advising on merger and acquisition transactions in the government contracting sector, including novation agreements and successor-in-interest determinations. Prior experience as in-house counsel for a government contractor, DOD/civilian agency, or Inspector General's office. Familiarity with ethics and compliance program design under FAR 52.203-13 and the Federal Sentencing Guidelines.
COMPENSATION & BENEFITS PACKAGE
Pay range: $250,000-$300,000 annually
