Job Description

Our client, a growing, privately held life sciences company in the Maryland biotech corridor seeks to hire an experienced tax attorney to serve as its

•first dedicated in-house tax counsel.

•This newly created role offers the opportunity to take ownership of the company's tax legal function and help shape its U.S. and international tax strategy. Reporting to the General Counsel and working closely with senior leadership, the AGC, Tax will lead tax structuring and planning across the business, bringing significant strategic tax work in-house. Key responsibilities include : Lead tax planning and structuring involving corporate entities, LLCs and partnerships, intellectual property, and cross-border transactions. Advise senior leadership on tax-efficient structuring of commercial transactions, intercompany arrangements, licensing agreements, and corporate reorganizations. Provide strategic legal guidance on tax positions, disputes, and domestic and international tax matters. Advise on tax-related provisions in commercial, employment, and vendor agreements. Monitor developments in U.S. and international tax law and assess their impact on the business. Partner closely with Tax, Finance and business leaders and manage outside tax counsel on specialized matters. 10+ years of sophisticated tax law experience, ideally including meaningful tenure with a multinational company. Deep experience with U.S. federal taxation of LLCs and partnerships (Subchapter K). Strong corporate and international tax experience, including cross-border structuring and transfer pricing. Excellent judgment and the ability to translate complex tax issues into practical, business-oriented advice. Experience working with life science, pharmaceutical or other regulated-industry companies is a plus.
