Job Description

The General Counsel & Compliance Officer for a mortgage company directs the enterprise's legal strategy and ensures lending operations meet all federal and state regulations. This role mitigates legal exposure, negotiates contracts, manages litigation, and oversees corporate governance. Core Responsibilities Legal Strategy & Risk Management Act as the primary legal advisor to executive leadership and the Board of Directors. Oversee and manage active litigation, dispute resolution, and mediation efforts. Advise on labor and employment law, corporate transactions, mergers, and acquisitions. Regulatory Compliance Ensure strict adherence to residential mortgage lending laws and regulations, including: CFPB (Consumer Financial Protection Bureau) rules RESPA (Real Estate Settlement Procedures Act) TILA / Reg Z (Truth in Lending Act) TRID (TILA-RESPA Integrated Disclosure) ECOA (Equal Credit Opportunity Act) HMDA (Home Mortgage Disclosure Act) Oversee state licensing, renewal requirements, and bonding across all operating jurisdictions. Manage responses to regulatory audits, examinations, and agency inquiries, establishing corrective action plans. Corporate Governance & Operations Draft, review, and negotiate critical business contracts, vendor agreements, warehouse lending lines, and loan purchase agreements. Formulate and deploy internal policies, operational controls, and staff training programs.
Qualifications & Requirements Education:
Juris Doctorate (J.D.) from an ABA-accredited law school required.
Bar Admission:
Active and in good standing with the State Bar, or the ability to be admitted as in-house counsel.
Experience:
5+ years of legal experience with an emphasis on real estate finance, mortgage lending, or financial services.
Knowledge:
Expert-level comprehension of mortgage-backed securities, loan origination systems (LOS), and federal housing programs.

Ability to translate highly complex legal jargon into actionable, compliant business processes.
Decision Making:
Sound ethical and strategic judgment.
Communication:
Exceptional ability to present risk and compliance metrics effectively to executive stakeholders and regulators.
Pay:
$60,000.00 - $120,000.00 per year
