Overview A manufacturing firm is seeking an experienced Senior Associate Counsel to join its corporate legal department. This role reports to the General Counsel and serves as a strategic advisor to executive leadership across commercial and government contracting, compliance, and corporate operations. The position requires managing legal exposure in a fast-paced manufacturing and defense environment.

Key Responsibilities Legal & Contractual Support:

Lead the drafting, negotiation, and administration of complex commercial and government contracts, including customer agreements, subcontracts, and strategic partnerships.

Regulatory Guidance:

Interpret and provide counsel regarding

FAR, DFARS, ITAR

, and export control regulations.

Strategic Advisory:

Serve as a trusted advisor to executive leadership on corporate governance, ethics, risk management, and internal policies.

Cross-Functional Leadership:

Collaborate with finance, operations, and engineering teams to support strategic initiatives and operational objectives.

Litigation & Outside Counsel:

Manage relationships with outside legal counsel and support contract disputes, claims, and investigations.

Requirements & Qualifications Education:

Juris Doctor (J.D.) degree from an accredited law school.

Licensure:

Active membership in good standing with the State Bar.

Experience:

6-10 years of combined experience in commercial/government contracting or corporate law.

Technical Knowledge:

Deep understanding of

FAR/DFARS , UCC

principles, and government procurement regulations.

Skills:

Exceptional negotiation, analytical judgment, and the ability to collaborate with cross-functional executive teams.

Industry Background:

Experience in manufacturing, defense, or aerospace is strongly preferred.
