Job Description
Full-time Description TriplePoint Capital is a premier finance company devoted to serving high-growth, venture capital and private equity backed companies throughout their lifespan with debt financing, equity capital and complementary services. TriplePoint focuses its investments in industries such as technology, life sciences, media and entertainment, consumer and retail, alternative energy and other high-growth industries that receive investment from venture capital and private equity sponsors. Position Description TriplePoint Capital is looking to hire an attorney to draft, negotiate and review documentation and due diligence relating to our product offerings, including domestic and international secured debt facilities and equity investments, and advise internally on related matters. Responsibilities Responsibilities include, but are not limited to, the following:
- Draft, negotiate, and review documentation relating to TriplePoint's secured debt facilities and equity investments and other related matters, including:
- Review, prepare and negotiate secured loans, equipment leases, and related documents; work closely with customers and their attorneys; conduct legal due diligence and coordinate with internal diligence groups; oversee closing and post-closing requirements.
- Review, prepare and negotiate equity investment documents; coordinate execution of the investment documents.
- Review, prepare and negotiate warrant agreements to purchase securities.
- Review, prepare and negotiate inter-creditor and subordination agreements.
- Liaise with outside counsel, as needed, for both international and domestic transactions.
- Review and evaluate merger/acquisition documents as they relate to our debt facilities, warrants, and equity investments.
- Draft, negotiate, and review non-disclosure agreements.
- Review, discuss with and advise internally on legal matters relating to secured debt facilities, including assistance in the preparation of "term sheets."
- Communicate and work collaboratively with the TriplePoint investment team, fundings team, and finance teams and update internal monitoring and tracking systems.
- Supervise loan closers, Legal Relationship Managers, and paralegals through the documentation and loan administration process.
- 5 + years as practicing attorney with transactional/financing/lending experience; corporate, securities, bankruptcy, and workout experience a plus
- Member of a State Bar in Good Standing
- Understanding of secured debt transactions and Uniform Commercial Code
- Excellent oral and written communication skills
- Proficiency in Microsoft Office (Word, Excel, and Outlook)
- Strong interpersonal skills; self-motivation
- Attention to detail
- Ability to exercise good judgment, including maintaining confidentiality
- Energetic, resourceful, and able to work in a fast-paced, changing environment
- Practical and client-focused approach to legal work
- Ability to work collaboratively and constructively with other TriplePoint groups using the highest standards of professionalism Salary Description 145,000 - 255,000 Yearly
