HVA is an industry-leading provider of advanced network video surveillance products, including IP cameras, storage devices, and video management systems founded on world-class technologies. We offer end-to-end security solutions and have achieved global success across a wide range of industry verticals including retail, transportation, education, banking, healthcare, hospitality and airports. Hanwha Vision America (HVA) is seeking an Associate Counsel to help draft, review and negotiate contracts for our company. The candidate will conduct research and provide legal advice on potential risks. Primary Responsibilities Independently draft, review, and negotiate a wide range of contracts and other legal documents, including, but not limited to, NDAs, distribution agreements, software and technology license agreements, and lease agreements. Conduct research into a variety of legal issues as appropriate. Provide legal advice on potential risks and issues to various teams and propose solutions. Monitor the latest developments in the laws and regulations applicable to the company. Develop, implement, and oversee the company's compliance strategy and framework to ensure adherence to applicable laws and regulations. Oversee or coordinate legal disputes, litigation, and alternative dispute resolution processes, collaborating with external legal counsel when necessary. Assist with other legal matters as needed at the direction of General Counsel. Minimum Qualifications Attorney with minimum 2 years of experience as in-house or at a law firm, focusing on contract negotiation and legal analysis. Law degree from an accredited law school. Admitted to practice in New Jersey or the ability to register as in-house counsel in New Jersey. Able to work in a proactive, independent, and reliable manner under tight timeframes in a fast-paced environment. Strong teamwork and relationship management skills. Proficient with Microsoft applications including Word, Excel, PowerPoint, and Outlook. Ability to travel as matters deem necessary (less than 10% of time). Desired Qualifications Working knowledge with and interest in understanding evolving technologies, including artificial intelligence. Experience in risk management and compliance (experience in privacy and cybersecurity laws and/or export control laws will be highly regarded.) Fluency in Korean is a plus.
