Job Description

SUMMARY:
This role assists with litigation matters, overseeing outside counsel, discovery and pre-trial processes, advising on service of process protocols, ensuring compliance with financial regulations, and providing business-oriented legal counsel to staff. Key responsibilities involve risk identification and mitigation, contract review, and communicating complex legal issues clearly to non-legal colleagues. This position, in consultation with Assistant Chief Counsel, also assists with day-to-day issues arising from all business lines (trust, insurance, private banking, wealth) as well as retail branches throughout the network. This includes review of trust documents for trust-secured loans and HELOCs (Home Equity Line of Credit), monitoring of claims outside of the premises liability incidents, review of POAs (Power of Attorney) and trust documents, and all such related matters.
ESSENTIAL DUTIES AND RESPONSIBILITIES

Assists with all litigation matters for the bank, including overseeing case strategy and coordinating with outside law firms. Provides advice and oversight on the correct and legal execution of service and process for various legal actions in consultation with the Assistant Chief Counsel. Assists with legal strategies to resolve disputes and protect WesBanco's interests. Applies forward-thinking approach to understanding the evolving landscape of industry-wide litigation and creative strategies to mitigate litigation risk. Assists in the discovery process, participates in pre-trial proceedings, and prepares for potential trials or settlements, as directed by Assistant Chief Counsel. Advises on compliance with banking laws and regulations to minimize risks of violations and legal actions. Handles day-to-day issues arising from all business lines (trust, insurance, private banking, wealth) as well as retail branches throughout the network, including review of trust documents for trust-secured loans and HELOCs, monitoring of claims outside of the premises liability incidents, review of POAs and trust documents, and all such related matters in consultation with Assistant Chief Counsel. Provides practical, business-focused legal counsel to bank staff, aligning legal recommendations with business goals. Identifies and mitigates legal and compliance risks across the bank's operations and products. Drafts, reviews, and interprets contracts, agreements, and other legal documents to ensure legal soundness and compliance.
OTHER REQUIREMENTS
Banking is a highly regulated industry and you will be expected to acquire and maintain a proficiency in the Bank's policies and procedures, and adhere to all laws, rules and regulations that are applicable to your conduct and the work you will be performing. You will also be expected to complete all assigned compliance training in a timely manner. Strong understanding of corporate law, contract law, compliance and banking regulations. Exceptional communication, negotiation and drafting skills. Ability to build strong relationships with colleagues across various departments. Adept at simplifying complex legal issues for non-legal audiences. Experience assisting with complex legal projects and transactions. Proficiency in using legal databases and technology. A Bachelor's degree and as well as a Juris Doctorate from an accredited law school required. Current admission to the relevant state bar and in good standing required. Minimum of 2 years in advising financial institutions required. In-house counsel experience preferred Familiarity and experience with banking and finance law required. This position is hybrid. The employee is split between remote and office work on a formalized schedule. Consideration for location will be Troy Hill - Pittsburgh, PA.
