Position Summary:
The General Counsel will serve as the Company's principal legal advisor and work directly with the Chief Executive Officer regarding all legal matters affecting Remac USA , Inc. and its wholly owned subsidiary companies. The General Counsel will provide representation in arbitration and court, as required. The successful candidate will provide practical business-oriented legal representation while minimizing risk and supporting continued growth.
Primary Responsibilities:
Representation on the following matters: 1. Construction Law a. Provide representation regarding strength of construction contracts, delay claims, change orders, Requests for Equitable Adjustment (REA), performance disputes, Differing Site Conditions, liquidated damages, payment disputes, and performance disputes. 2. Environmental Law a. Working knowledge of CERCLA, RCRA, TSCA, Clean Water Act, Clean Air Act, OSHA, EPA regulations, and state environmental regulations. b. Experience involving PCB remediation, asbestos, lead, PFAS, hazardous waste, contaminated soil, and redevelopment. 3. Contract Law a. Draft or provide representation concerning owner contracts, general contractor agreements, consultant agreements, vendor contracts, master service agreements, purchase orders, confidentiality agreements, non-disclosure agreements, joint venture agreements, and teaming agreements. 4.
Corporate Law:
a. Provide representation regarding corporate governance, risk management, insurance matters, corporate compliance, corporate structure, subsidiary management, business acquisitions, asset purchases, and due diligence. 5.
Employment Law:
a. Provide expertise and representation regarding employee hiring and termination, employment agreements, non-compete agreements, independent contractor issues, wage and hour compliance, OSHA investigations, and EEOC matters. 6.
Claims and Litigation Management:
a. Manage outside counsel, evaluate litigation strategy, coordinate discovery, assist in depositions, prepare witnesses, and review pleadings. b. Experience involving construction litigation, commercial litigation, contract disputes, property damage claims, personal injury, and insurance coverage disputes.
Pay:
