POSITION SUMMARY
The Legal Counsel serves as the in-house legal advisor to Katie's Way, providing strategic legal guidance, risk assessment, and regulatory support across all areas of the organization. This role partners closely with executive leadership to identify and address legal vulnerabilities, ensure compliance with federal and state healthcare laws, and protect the organization's ability to deliver high-quality behavioral health care to civilian and military populations. The Internal Legal Counsel is a trusted business partner who translates complex legal and regulatory considerations into practical, actionable guidance. The role is particularly focused on the legal frameworks governing multi-state behavioral health operations, including the Corporate Practice of Medicine (CPOM) doctrine, healthcare regulatory compliance, contracting, employment law, and corporate governance.
KEY RESPONSIBILITIES
Serve as primary in-house legal counsel to Katie's Way, providing day-to-day legal guidance and advice to executive leadership and department heads. Provide ongoing legal risk assessment across business operations, clinical services, contracts, and strategic initiatives. Work onsite or in close partnership with operational teams to learn and understand the business in order to deliver business-specific, practical legal advice. Deliver periodic legal assessments and reports identifying vulnerabilities, exposures, and recommendations for improvement. Advise on the legal implications of new service lines, market expansion, partnerships, and corporate growth initiatives. Provide guidance on healthcare regulatory matters, including HIPAA, the HITECH Act, and federal and state behavioral health regulations. Advise on the Corporate Practice of Medicine (CPOM) doctrine and ensure organizational structures and clinical arrangements remain compliant across all states in which Katie's Way operates (AK, CO, KS, TX, WA). Monitor federal and state healthcare regulatory developments and counsel leadership on implications for operations, contracting, and clinical delivery. Support compliance with anti-kickback, Stark, fraud and abuse, and applicable third-party payer requirements. Advise on credentialing, licensure, scope-of-practice, and telehealth-related legal questions. Partner with the Compliance function to support program development, audits, investigations, and corrective action plans. Review, draft, negotiate, and manage contracts, including vendor agreements, payer contracts, provider agreements, business associate agreements (BAAs), leases, and service contracts. Maintain a contracts management process, including standard templates, playbooks, and a contract repository. Review existing contracts and recommend modifications, standardization, or risk-reduction measures. Advise on contractual obligations, performance issues, and disputes; coordinate with outside counsel as needed. Support contracting related to military and government partnerships, where applicable. Review and maintain organizational documents (entity formation documents, operating agreements, bylaws, resolutions, and corporate records). Advise on corporate governance best practices, including board meeting protocols, minutes, and resolutions. Support multi-state entity management, including registrations, qualifications, and annual filings, in coordination with outside counsel or service providers. Provide legal input on financial documents and transactions in coordination with finance leadership and external advisors. Partner with HR on employment-law matters, including hiring, termination, leave, accommodation, discipline, and investigations. Advise on employee policies, the Employee Handbook, wage-and-hour compliance, and worker classification (employee vs. independent contractor). Counsel leadership on workplace investigations, harassment and discrimination claims, and EEOC, state agency, or similar charges. Provide guidance on restrictive covenants, confidentiality, intellectual property assignment, and conflict-of-interest matters. Identify, assess, and recommend mitigation strategies for legal and operational risks. Manage the relationship and engagement of outside counsel for specialized matters, including litigation, tax, securities, and complex regulatory issues, where appropriate. Coordinate responses to subpoenas, legal demands, and regulatory inquiries. Maintain appropriate documentation of legal advice, decisions, and engagements. Maintain strict confidentiality of all employee, patient, client, vendor, and company information. Understand and comply with HIPAA regulations, OSHA standards, the Employee Handbook, and all other company policies and procedures. Participate in executive, departmental, and company meetings and professional development activities. Perform other job-related duties as assigned.
QUALIFICATIONS
Education & Experience (Required) Juris Doctor (J.D.) degree from an accredited law school. Active license to practice law and in good standing in at least one U.S. jurisdiction; eligible to register as in-house counsel in additional states where Katie's Way operates as required. Minimum of five (5) years of relevant legal experience, with a meaningful portion in healthcare law, regulatory compliance, or in-house counsel work. Experience reviewing, drafting, and negotiating contracts. Experience advising business leaders on legal risk, compliance, and corporate governance. Preferred Qualifications Direct experience with the Corporate Practice of Medicine (CPOM) doctrine and multi-state healthcare regulatory frameworks. Experience supporting behavioral health, mental health, outpatient, or telehealth organizations. Prior in-house counsel experience at a healthcare or professional services organization. Familiarity with the legal and contractual considerations of military and government healthcare partnerships. Experience supporting growth-stage organizations, including market expansion and new service line launches. Bar admission (or eligibility for in-house registration) in one or more of Katie's Way's operating states:
AK, CO, KS, TX, WA.
Working knowledge of healthcare regulatory law, including HIPAA, HITECH, CPOM, anti-kickback, Stark, and applicable state behavioral health regulations. Strong contract drafting, negotiation, and review skills. Ability to translate complex legal concepts into clear, practical, business-focused guidance. Sound judgment, discretion, and the ability to balance legal risk with business objectives. Excellent verbal, written, and interpersonal communication skills. Strong organizational, time management, and project management skills, with the ability to manage multiple priorities and deadlines. Proven ability to maintain confidentiality, attorney-client privilege, and the highest standards of professional ethics. Proficiency in Microsoft Office Suite (Word, Excel, Outlook). Team-oriented with a positive attitude and demonstrated ability to collaborate across executive, clinical, operational, HR, and finance functions.
