Job Description

Description Robert Half is partnering with a prominent full-service law firm to identify a Mid-Level Corporate / M& A Associate for its highly regarded Corporate Practice Group. This position offers the opportunity to work on sophisticated middle-market and private equity-backed transactions while taking on increased responsibility in managing deals and client relationships. The corporate practice is one of the firm's largest groups and primarily handles private equity transactions. Attorneys work closely with a team that includes 15 partners, associates, counsel, and dedicated paralegal support. Location, Compensation & Schedule +

Location:

Manhattan, New York +

Work Arrangement:

Hybrid, approximately 3 days per week in-office +

Schedule:

Standard hours are 9:30 a.m. to 5:30 p.m.; in-office days are generally determined by the deal team and practice group +

Pay:

$110-$140/hour Responsibilities

+ Lead and manage corporate transactions from inception through closing

+ Handle M& A, private equity, growth equity, and venture financing transactions

+ Conduct and oversee due diligence processes

+ Manage transaction timelines, deadlines, and closing logistics

+ Draft, review, negotiate, and revise principal transaction documents, including:

+ Purchase Agreements

+ Stockholders Agreements

+ Operating Agreements

+ Right of First Refusal (ROFR) Agreements

+ Investor Rights Agreements

+ Related transaction documents

+ Coordinate internal and external deal teams

+ Supervise junior attorneys and support staff on transaction matters

+ Advise clients on general corporate and transactional issues Requirements Qualifications

+ J.D. and admission to practice law in at least one U.S. jurisdiction + 4-6+ years of corporate transactional experience

+ Strong experience with M& A, private equity, growth equity, and venture financing transactions

+ Proven experience managing due diligence, transaction execution, and closings

+ Demonstrated ability to draft and negotiate complex transaction documents

+ General corporate law background with experience supporting sophisticated transactional matters

+ Strong project management, drafting, and organizational skills

+ Ability to thrive in a fast-paced, team-oriented deal environment

+ Capital Markets experience is a plus

+ Law firm corporate transactional experience strongly preferred
