Senior Counsel, Corporate Location New York, NY - Hybrid; San Francisco, CA - Hybrid Employment Type Full time Department Legal Overview Application The Senior Counsel, Corporate will be a senior member of Generate Capital's legal team and a trusted partner to leaders across the business. This role will own a broad portfolio of corporate matters, including corporate governance, board and stockholder matters, strategic transactions, and corporate financing. The ideal candidate combines strong technical training with commercial judgment, can move comfortably between strategic advice and hands-on execution, and is energized by working in a fast-moving environment where priorities evolve and answers are not always obvious. This person should be prepared to lead matters independently, collaborate closely with internal stakeholders and outside counsel, and build practical processes that help the organization operate with greater speed, rigor, and consistency. What you will be doing at Generate Capital as the
Senior Counsel, Corporate:
Serve as a senior legal partner on corporate matters, providing practical, commercially grounded advice to the executive team and cross-functional leaders. Advise on corporate governance matters for Generate and its subsidiaries, including board and committee materials, resolutions, approvals, and corporate records. Advise on stockholder and capitalization matters, including governance rights, equity issuances, reorganizations, and amendments to key corporate agreements. Lead and support strategic transactions, including corporate M&A, investments, joint ventures, restructurings, and asset sales, from diligence and structuring through negotiation and closing. Partner with Capital Formation, Capital Markets, Finance, Tax, Investment and Development teams on corporate financing and capital-raising transactions, including equity and debt financings. Help maintain and improve corporate policies, approval frameworks, signing authorities, and legal processes that enable disciplined and efficient decision-making. Manage outside counsel and other legal service providers with clear accountability for scope, quality, timing, and cost. Support the broader legal team on complex or time-sensitive matters and contribute to a collaborative, high-performing department. Candidate qualifications & core characteristics: JD from an accredited law school and active membership in at least one U.S. state bar; 8+ years of relevant legal experience. Strong corporate transactional experience developed through a leading law firm and/or an in-house legal team; prior in-house experience is preferred but not required. Demonstrated experience leading or supporting M&A, strategic investments, joint ventures, and corporate financing transactions; experience with power or digital infrastructure transactions is a plus. Excellent drafting, negotiation, and project-management skills, with the ability to manage multiple workstreams and drive matters to resolution. Commercially minded and solutions-oriented, with the judgment to distinguish material risks from manageable ones and communicate advice clearly. Comfort operating with significant autonomy while knowing when to escalate, seek input, or bring in specialized expertise. Strong interpersonal skills and the ability to build trust with senior leaders and partners across Finance, Tax, Capital Formation, Investment, Development, and Operations. Willingness to roll up your sleeves and handle both strategic matters and the detailed execution required to complete them well. Collaborative working style, intellectual honesty, and strong judgment under ambiguity. A genuine interest in Generate's mission and in supporting the development, financing, and operation of critical energy infrastructure. Generate's compensation packages are dependent on the facts and circumstances of each case. Salary decisions take into account a wide variety of factors including, but not limited to: skill sets, experience and training, licensure and certifications, geographic location, and other business and organizational needs. A reasonable estimate of the base salary range for this role is $200,000 - $280,000. In addition, the compensation package may include a discretionary bonus and other benefits, including health care benefits, retirement benefits, benefits permitting paid days off (including sick leave, parental leave, and paid time off or vacation benefits), and other benefits that must be reported for federal tax purposes. It is not typical for an individual to be hired at the top of this range.
