Job Description:
The Senior Counsel Procurement is responsible for providing comprehensive legal support and counsel on a broad range of supplier contract negotiation and related matters. This role requires an individual with strong analytical, drafting, and negotiation skills, as well as the ability to provide sound legal and business advice to various internal groups on complex procurement transactions. This position will provide legal advice and counseling on contractual risks and drafting, negotiation strategy, and pre-litigation disputes. This position will manage some outside counsel.Location :

Provide day-to-day counseling to internal business teams on procurement and contract negotiation issues. Draft and negotiate Master Services Agreements (MSAs), purchasing agreements, hold harmless agreements, rebate agreements, construction contracts, transport/fleet agreements, and contract amendments. Advise on supplier onboarding and related topics. Collaborate with external counsel in connection with complex and/or high stakes negotiations and disputes. Independently develop and present in-depth training programs for procurement personnel on best practices related to all aspects of procurement transactions. Creation of forms, alternative provisions and other infrastructure for procurement transactions. Address governance and approvals for procurement transactions. Provide legal advice on compliance with state and federal laws.Competencies:
Excellent verbal and written communication skills. Proficiency in English (spoken and written) is required for this position, as the incumbent will be required to communicate daily with clients and business partners located outside of Quebec (United States and rest of Canada). Excellent organizational and analytical skills coupled with a problem-solving mindset. Ability to be flexible and adaptive in handling multiple priorities within deadlines, and be results oriented. Self-starter with ability to perform without significant direct supervision. Maturity to interface and communicate effectively with a variety of stakeholders, including all levels of employees, internal and external legal counsel, customers, consultants and vendors. Strong interpersonal skills in forming and maintaining good relationships with colleagues including business management teams; respects the ideas and opinions of other. Well-developed sense of professionalism and integrity. Adapts behavior to different types of situations, is flexible and open to new ideas, accepts changes. Ability to travel occasionally. Established working knowledge of Microsoft Office and Google Suite, as well as ability to learn additional software and database management. Are you a MATCH?Required Qualifications:
Juris Doctor (J.D.) from an accredited law school. Active law license in good standing in at least one US state, Canadian province, or territory, and willingness to obtain a Pennsylvania Limited In-House Corporate Counsel License. 4+ years of relevant experience, with strong expertise in procurement law, commercial contract negotiation, and supplier management. Experience negotiating with major industrial suppliers is preferred. Law firm and in-house experience preferred. Core Competencies & Values (Be Act Engage)Behave Ethically:
