Job Description

We are looking for an accomplished Business Transactional Attorney to join a respected Texas law firm in Corpus Christi, Texas. This permanent, on-site role focuses on guiding businesses and individual clients through complex corporate matters, from day-to-day legal counseling to high-value transactions. The position is ideal for a lawyer who combines strong technical drafting and negotiation abilities with practical commercial judgment and a client-centered approach.
Responsibilities:
  • Advise companies and private clients on corporate structure, governance, contracts, and a broad range of business law matters.
  • Lead transactional work for mergers and acquisitions, representing purchasers and sellers in stock deals, asset transfers, and buyout arrangements.
  • Prepare, revise, and negotiate key legal documents such as purchase agreements, operating agreements, shareholder agreements, and related commercial contracts.
  • Counsel clients on private investment and securities matters, including documentation for offerings and regulatory compliance considerations.
  • Support financing transactions by structuring and documenting lending arrangements for operations, acquisitions, and other business needs.
  • Help clients renegotiate existing debt arrangements and address legal issues tied to revised borrowing terms.
  • Coordinate closely with clients, financial professionals, and other advisors to move transactions forward efficiently and strategically.
  • Partner with colleagues across tax, real estate, and labor and employment practices to deliver well-rounded legal solutions.
  • Develop lasting client relationships by providing responsive, practical advice aligned with each client's business goals.
