Securities Filings, Compliance Assist in the preparation and review of SEC filings including Forms 10-K, 10-Q, and 8-K, proxy statements, and Section 16 filings, including coordinating document collection and verification for reports. Support compliance with U.S. securities laws, SEC regulations, and stock exchange listing standards. Maintain disclosure controls and procedures documentation. Track regulatory developments and assist with implementation of new compliance requirements. Work closely with finance, accounting, investor relations, and external counsel during filing cycles. Corporate Governance Support preparation of board and committee materials related to securities and disclosure matters. Assist with annual shareholder meetings and proxy processes. Support internal compliance initiatives and training programs. Work with the paralegal to maintain corporate records and governance documentation. Other Draft, review, and negotiate commercial contracts.Qualifications:
J.D. from an accredited law school; licensed to practice in Texas or eligible for in-house counsel registration. 3-5 years of legal experience, preferably in a public company or law firm serving public clients. Strong knowledge of securities law, corporate governance, and general business law. Excellent judgment, communication, and organizational skills. Ability to work independently and manage multiple priorities. A business-oriented self-starter with an ability to arrive at creative solutions to complex legal issues. Highest levels of integrity and professionalism. Excellent analytical, drafting, negotiating, communication and relational skills.
