Job Summary:
Reporting to TAI Sr. Counsel, the Contract Attorney will provide strategic, business-focused legal support across a diversified North American industrial manufacturing organization. This role will assist TAI Sr. Counsel in supporting supply chain, sourcing, procurement, operations, sales, finance, and/or executive leadership teams, as applicable. The position will have a strong emphasis on supply chain and procurement legal matters, including strategic sourcing initiatives, supplier negotiations, manufacturing agreements, logistics matters, inventory risk management, and operational continuity. The attorney will provide practical legal guidance that supports commercial growth, mitigates operational and contractual risk, and strengthens enterprise-wide supply chain resiliency. The ideal candidate will possess experience supporting industrial or manufacturing businesses in complex commercial transactions and drafting and negotiating sourcing and procurement agreements within a robust industrial manufacturing environment.
Key Responsibilities:
Assist TAI Sr. Counsel in supporting sourcing, procurement, supply chain, and operations teams across multiple U.S. operating companies. Draft, review, negotiate, and manage a broad range of commercial and supply chain agreements, including: Strategic sourcing agreements Supplier and vendor contracts Master service agreements Logistics, transportation, and warehousing agreements Inventory and consignment agreements Terms and conditions of purchase and sale Confidentiality and non-disclosure agreements Support enterprise supply chain initiatives focused on supplier performance, cost optimization, continuity planning, dual sourcing strategies, and risk mitigation. Advise business units on legal risks associated with procurement, supply disruptions, pricing disputes, product availability, force majeure events, tariffs, and commercial compliance matters. Provide preventative legal counseling to minimize operational, commercial, and contractual exposure across the supply chain organization. Contribute to development and implementation contract templates, playbooks, and legal process improvements to drive consistency and efficiency across operating companies. Monitor and advise on applicable federal, state, and international regulations impacting supply chain, procurement, manufacturing, transportation, and commercial operations. Deliver practical, solutions-oriented legal advice that balances risk management with operational and business objectives. Strategic sourcing agreements Supplier and vendor contracts Master service agreements Logistics, transportation, and warehousing agreements Inventory and consignment agreements Terms and conditions of purchase and sale Confidentiality and non-disclosure agreements Qualifications Juris Doctor (JD) degree from an accredited law school. Licensed and in good standing to practice law in at least one U.S. jurisdiction. 5+ years of legal experience supporting commercial transactions for procurement/supply chain functions in manufacturing organizations. Strong experience drafting and negotiating complex commercial supply chain agreements. Experience supporting sourcing, procurement, logistics, transportation, and/or supplier management functions strongly preferred. Background supporting industrial manufacturing preferred. Strong business acumen with the ability to provide practical and commercially focused legal guidance. Excellent negotiation, communication, and stakeholder management skills. Ability to manage multiple priorities and work effectively in a fast-paced environment."
