Full Job Description Position Summary:
We are seeking an experienced and versatile Transactional Attorney to manage a diverse portfolio of legal matters involving business, real estate, probate, estate planning, and contract transactions . The ideal candidate will handle the drafting, negotiation, and execution of a wide range of documents, including LLC formations, trusts, wills, deeds, probate filings, and ancillary business and personal agreements. This role requires exceptional drafting skills, sound judgment, and a client-centered approach to delivering efficient and effective legal solutions.
Key Responsibilities:
Business Transactions:
Draft, review, and negotiate business contracts , including purchase and sale agreements, partnership agreements, employment and service contracts, and vendor agreements. Form and maintain LLCs, corporations, and other business entities , including drafting operating agreements, bylaws, resolutions, and compliance documents. Advise clients on corporate governance, restructuring, and business succession planning.
Estate Planning & Probate:
Draft and execute wills, trusts, powers of attorney, and related estate planning documents. Handle probate administration , including filing petitions, managing estate assets, and assisting executors, trustees, and beneficiaries throughout the process. Advise clients on strategies for asset protection, trust management, and estate distribution.
Real Estate Transactions:
Prepare, review, and record deeds, transfers, easements, and related real estate documents. Conduct due diligence for real estate and business closings.
General Transactional Work:
Draft and manage a variety of contractual and ancillary documents , including leases, promissory notes, financing documents, settlement agreements, and memoranda of understanding. Coordinate with accountants, financial advisors, and other professionals to ensure comprehensive and compliant transactions. Maintain knowledge of current laws, regulations, and best practices affecting business, estate, and property transactions.
