Job Overview:

We are seeking a highly skilled and motivated Senior Corporate Counsel to join our dynamic legal team. In this pivotal role, you will provide expert legal guidance across a broad spectrum of corporate and regulatory matters, ensuring compliance and mitigating risk while supporting our strategic growth initiatives. Your expertise will help shape our legal framework, influence business decisions, and uphold the highest standards of integrity and professionalism. Duties:

Provide legal support and guidance on matters relating to corporate finance, treasury, and securities including drafting, reviewing, negotiating, consummating, and compliance with, employment agreement, supply agreements, IP licensing agreements, technical agreements, warranty agreements, development agreements, services agreements, and confidentiality agreements, materials agreement, licensing agreements, consulting agreements, etc. Facilitate resolution of legal disputes by drafting and responding to breach of contract claims. Develop templates, playbooks, and negotiation strategies to support efficiency and consistency across commercial operations. Support on corporate governance frameworks, entity formation and structuring, and inter-company agreements. Advise a wide variety of in-house clients who work with our strategic partners on strategic, commercial, and regulatory issues Monitor emerging laws, regulations, and policy development affecting energy and manufacturing infrastructure in countries where company operations. Collaborate with colleagues worldwide to ensure consistency in contracts and risk allocation across Microvast's various businesses. Provide legal support and guidance on matters relating to litigation, claims and disputes, and governmental investigations related to corporate, securities, commercial matters. Handle miscellaneous legal tasks on an as-needed basis. Lead complex negotiations on contracts, licensing agreements, and corporate transactions to secure favorable terms aligned with company objectives. Provide comprehensive legal advice on estate planning, securities law, environmental law, and tribal law & regulations to ensure compliance with applicable statutes and regulations. Conduct thorough legal research using tools such as LexisNexis and Westlaw to support case strategies and policy development. Draft, review, and revise legal documents including policies, contracts, litigation pleadings, and corporate filings with precision and clarity. Manage litigation matters by coordinating with external counsel, overseeing case progress, and developing strategies to protect the company's interests. Advise on employment-related issues including workers' compensation law, family law implications for employees, landlord-tenant disputes affecting company property, and immigration law compliance. Support the legal administrative functions of the law office by maintaining organized records, tracking case statuses, and ensuring timely responses to legal inquiries.

Experience:

Extensive experience practicing law in multiple jurisdictions with a focus on corporate governance, litigation, and regulatory compliance. Proven track record handling diverse legal areas such as estate planning, environmental law, securities law, patent law, personal injury law, tribal law & regulations, and workers' compensation law. Demonstrated ability to conduct detailed legal research using LexisNexis and Westlaw platforms effectively. Strong negotiation skills with a history of successfully managing complex agreements and dispute resolutions. Excellent writing skills for drafting clear legal documents and communicating complex concepts effectively. Prior experience working in a law office setting or in-house legal department is preferred. Familiarity with legal administrative processes including case management systems and document organization is highly desirable. Qualifications:

Juris Doctor with a current license to practice in Texas Minimum 8 years of law firm or in-house experience required, including substantial expertise with a wide variety of commercial transaction, and exposure to litigation, compliance, and regulatory issues. Prior in-house experience with a technology-focused company is preferred. Strong interpersonal skills with the ability to proactively identify problems, drive projects, make complex cost/benefit assessments, identify pragmatic and creative legal and business solutions, and quickly earn the confidence of colleagues. High standards, impeccable integrity and ethics, and unquestionable good judgment. Quick and flexible learner with well-honed analytical skills, intellectual curiosity, adaptability, comfort with ambiguity and risk, and enthusiasm for dynamic change. Should be able to work well under pressure, manage multiple priorities, and quickly respond to change.
