Position Overview We're expanding our legal capacity and hiring a Senior Paralegal who can step in and contribute on day one. You'll work directly with the managing attorney on substantive matters — drafting governance documents, preparing complex filings, supporting active litigation, and moving client work from intake through resolution. If you've spent years in a paralegal role and want work that actually matters — where your drafts get used, your filings shape real outcomes, and your judgment is trusted — this is the seat we're trying to fill. Key Responsibilities Transactional & Corporate Work Draft and file articles of incorporation, bylaws, operating agreements, and governance documents for nonprofit and for-profit entities. Prepare IRS Form 1023 and 1024 applications and supporting narratives for 501(c)(3) and other tax-exempt determinations. Handle California Secretary of State, FTB, and Attorney General Registry of Charitable Trusts filings; maintain annual compliance calendars. Draft contracts, NDAs, fiscal sponsorship agreements, board resolutions, and conflict-of-interest policies. Support entity restructurings, mergers, dissolutions, and asset transfers. Litigation Support Assist with case management for civil litigation matters, including business disputes, board and fiduciary claims, misuse-of-asset cases, breach of contract, and dissolutions. Draft pleadings, discovery requests and responses, subpoenas, and declarations. Organize case files, manage exhibits, and prepare deposition and trial materials. Conduct legal research using Westlaw, Lexis, or comparable platforms. Qualifications 5+ years of paralegal experience with substantive drafting responsibility in transactional work, civil litigation, or both. Strong drafting skills — you can produce a clean first draft of bylaws, a contract redline, a discovery response, or a motion with limited supervision. Comfortable managing multiple matters and deadlines without losing track of details. Proficient with legal research platforms, e-filing systems, and document management software. Paralegal certificate or equivalent education preferred. Exceptional attention to detail and sound professional judgment. Discretion with sensitive client information. Nonprofit and California corporate law experience is a plus, but not required — we'll train the right candidate on the substantive areas.
