Job Description
Key Responsibilities Transaction Support Support legal team on acquisitions, dispositions, financings, joint ventures, and other strategic transactions. Organize and maintain transaction documentation and closing files. Coordinate signature processes and execution of legal documents. Assist with legal due diligence, document review, and data room management. Track closing deliverables, post-closing obligations and other key project deadlines. Contract Administration Draft, review, and manage routine legal agreements, including, NDAs, service agreements and other operational contracts. Maintain contract databases and monitor key dates, renewals, and obligations. Support implementation and administration of contract lifecycle management processes. Regulatory & Compliance Support Assist with preparation and filing of regulatory and corporate compliance documents. Support legal team with compliance initiatives, policies, and training programs. Track licensing, registrations, and periodic filing requirements. Outside Counsel Management & Litigation Assist with outside counsel engagement and invoice management. Interface with outside counsel on transactions. Manage document collection and production efforts. Maintain and administer litigation and claims tracking systems. Legal Operations Maintain legal department templates, forms, precedent and knowledge management resources. Manage electronic and physical legal files. Track legal projects and deadlines. Assist with implementation and optimization of legal technology solutions. Support special projects and strategic initiatives as assigned. Assist with legal entity formation and management. Qualifications Bachelor's degree from an accredited institution. 2-5 years of paralegal experience, preferably in-house, at a law firm, or within the real estate, private equity, asset management, or financial services industries. Strong understanding of corporate governance and legal documentation. Experience supporting complex transactions and managing large volumes of documents. Excellent organizational, project management, and communication skills. Proficiency with Microsoft Office Suite and legal document management systems. This job is 5 days/week in office (Greenwich, CT).
