This opportunity is ideal for a corporate legal specialist who has strong experience supporting mergers and acquisitions and can help manage documentation, coordination, and deal execution from diligence through closing. The role will work closely with legal and cross-functional partners to keep transaction activities organized, accurate, and on schedule.
Responsibilities:
Partner with the legal team to support a corporate acquisition, helping manage activities tied to pre-closing preparation, asset-related matters, and follow-up work after the transaction is completed. Oversee due diligence coordination by gathering, organizing, and monitoring a wide range of business records, including corporate, commercial, regulatory, and operational materials. Maintain virtual data room content by arranging file structures, updating indexes, and uploading documents in a timely and accurate manner. Assist in preparing and reviewing transaction-related agreements and supporting materials, such as confidentiality agreements, purchase documents, disclosure items, transfer agreements, and closing paperwork. Create and update key deal management tools, including diligence logs, closing task lists, signature packages, and status summaries for transaction progress. Coordinate document execution processes, including notarization when required, and preserve complete records of finalized agreements. Review contracts to identify provisions related to assignment rights, required consents, change-of-control terms, and termination conditions that may affect the transaction. Work with internal teams and external parties to manage consent requests and required notices involving customers, suppliers, licensors, distributors, and other stakeholders. Collaborate with business partners, outside counsel, and subject matter teams such as finance, tax, compliance, and regulatory functions to help meet transaction deadlines and deliverables. Organize transaction files, corporate records, closing binders, and post-closing obligation tracking to support complete and timely deal administration. At least 5 years of paralegal experience, with a strong background in corporate legal work. Demonstrated experience supporting mergers and acquisitions, including due diligence and transaction documentation. Working knowledge of corporate transactions and the legal documentation involved in deal execution. Ability to manage large volumes of documents with strong attention to accuracy, organization, and version control. Experience coordinating with multiple stakeholders across legal, business, and external advisory teams. Strong contract analysis skills, including the ability to identify clauses that may affect transferability, consent, or closing requirements. Proficiency using virtual data rooms and standard document management tools in a transaction environment.
