Position Summary:
Experienced paralegal with a primary focus on preparing, reviewing and negotiating non-disclosure agreements, supply agreements, and various sales, services and other contracts, and supporting corporate compliance, corporate governance, and international businesses. Reporting to the Chief Legal Officer, the Senior Corporate Paralegal will be a valued contributing member of Web's Legal Team and will partner closely with our global Finance, Sales, Engineering, Marketing, Supply Chain, Customer Service and other personnel to provide legal and commercial assistance with respect to corporate matters and commercial contracts (customer, vendor, strategic partnerships).
PRINCIPAL DUTIES AND ESSENTIAL FUNCTIONS
Contract Review and Negotiation:
  • Draft, review, negotiate, and manage a variety of transactional agreements and amendments, including supply agreements, master services agreements, consulting agreements, statements of work, non-disclosure agreements, and other commercial agreements, with minimal attorney supervision.
  • Assist with creation of contract templates, playbooks, and employee training.
  • Perform contract administration support: develop and maintain procedures for tracking contracts and prepare applicable reports.
Corporate Governance:
  • Support attorney in preparing and maintaining corporate records, including board and committee packages, minutes, and board resolutions.
  • Assist attorney in maintaining and updating internal corporate governance policies and rolling out compliance practices and employee training.
  • Draft resolutions, written consents, and governance related certificates; maintain the corporation's organizational documents (charter, by-laws, corporate governance guidelines, etc.
); certify corporate documents; and maintain corporate governance related documents.
Subsidiary Maintenance:
  • Manage recordkeeping and annual compliance for our many subsidiaries, including maintaining ownership registers, entity resolutions and other documents.
  • Assist in the preparation of subsidiary entity resolutions and filings.
  • Organize and dissolve subsidiaries in various state jurisdictions, at the direction of attorney.
Special Projects and Cross-functional Collaboration:
  • Assist in managing special projects and enterprise-wide initiatives, as needed
  • Proficiency in project management, with the ability to take initiative and lead projects to completion with cross functional stakeholders.

Qualifications/Skills:
Excellent drafting, organizational, project management, communication (both oral and written), and analytical/problem- solving skills. Ability to work independently, manage multiple priorities, and collaborate cross-functionally. Strong computer skills and document preparation (e.g., Word, PowerPoint, Outlook, Excel). 1. Demonstrated ability to understand the "big picture" and pay attention to detail. 2. High degree of professionalism, discretion, and judgment. 3. Minimum 15 years of prior in-house experience. Bachelor's degree and/or relevant legal education (paralegal certificate). Must be able to work on government contracts.
