Location:
Based in our Roseland, NJ office, this role starts on-site and transitions to a hybrid schedule after 90 days — a great opportunity to get fully embedded with the team before enjoying the flexibility of a blended work arrangement.
Note:
This role requires a minimum of 5+ years of corporate paralegal experience in a law firm setting, with direct exposure to corporate transactions. Healthcare regulatory experience is a strong plus. Candidates without law firm corporate transactional backgrounds will not be considered.

JOB DESCRIPTION
Support healthcare attorneys on complex transactions including mergers and acquisitions, joint ventures, affiliations, restructurings, and dissolutions — ensuring compliance with applicable healthcare regulations throughout Conduct thorough due diligence for healthcare deals, including review of business licenses, Medicare/Medicaid enrollment, Stark Law and Anti-Kickback Statute compliance, and state-specific licensing requirements Prepare and file corporate documents including UCC financing statements, articles of incorporation/organization, bylaws, operating agreements, and annual reports Assist with healthcare entity formations, licensing, and regulatory filings with agencies including the Department of Health, CMS, and state professional boards Draft and review healthcare-related agreements such as employment agreements, management services agreements, operating agreements, and business associate agreements (BAAs) Manage data rooms, track transaction timelines, and assist with closings for healthcare-related deals Maintain and organize corporate records including minute books, stock certificates, professional entity records, and governance documents Conduct legal research on healthcare compliance matters including HIPAA, Stark Law, and Anti-Kickback Statute regulations Coordinate with clients, attorneys, and regulatory agencies to ensure accurate and timely processing of filings Handle confidential information with professionalism and discretion at all times
QUALIFICATIONS
Bachelor's degree or paralegal certificate from an accredited program required 5+ years of corporate paralegal experience in a law firm environment, with direct involvement in corporate transactions Healthcare regulatory experience strongly preferred — familiarity with HIPAA, Stark Law, Anti-Kickback Statute, and Medicare/Medicaid regulations a significant plus Proficiency in MS Word, Excel, Adobe (Kofax), and document management systems Strong organizational skills and meticulous attention to detail Excellent written and verbal communication skills Ability to manage competing priorities and meet deadlines in a fast-paced environment Team-oriented, professional, and discreet
