Job Description

Seeking a highly motivated Paralegal to assist attorneys in all stages of corporate formation and transactional work, together with the preparation of documents necessary to comply with federal, state, and local regulations in the conduct of business activities.
Job Responsibilities:
Support attorneys in drafting and reviewing various types of contracts and agreements. Assist in closing transactions, pre-closing and post-closing items. Draft various forms of entity formations, amendments, and dissolutions and organizational documents. Act as a resource for clients, attorneys and other third parties in connection with requests for client entity information or documents. Drafting corporate resolutions, consents and incumbency certificates Maintain corporate minute books Assisting with paperwork needed by the SEC, IRS, UCC and other regulatory bodies Responding to requests for information Performing legal research Prepare UCC financing statements
Qualifications:
3-5+ years paralegal experience within a comparable law firm and/or corporate environment. Bachelor s Degree and/or Paralegal Certificate required. Proficiency with Microsoft Office Suite (i.e., Word, Excel, PowerPoint, Outlook and Teams). The individual in this position will participate as a team member and be responsible for supporting the firms attorneys and clients on a range of corporate and transactional matters. The individual will have strong analytical and organizational skills, the ability to manage multiple projects and deadlines as well as strong oral and written communication skills; the ability to preserve confidentiality and exercise discretion; the ability to work under pressure and exercise good judgment. Notary Public (preferred)
