: Corporate Paralegal, location is Hybrid. The start date is ASAP for this 6-month contract position.

Job Description:
Support corporate governance and board administration activities by assisting with board meetings, governance documentation, subsidiary board management, and corporate secretarial functions under attorney oversight.
Day-to-Day Responsibilities:
Distribute board materials through governance platforms such as Diligent
Take meeting minutes and draft minutes for attorney review and board approval
Support governance activities for multiple subsidiary boards and legal entities
Assist senior corporate secretaries with board meetings, governance projects, and board communications
Gather, draft, and summarize information for board materials, presentations, and stakeholder communications
Manage governance-related requests through shared inboxes and internal communication channels
Coordinate meeting preparation activities, agendas, and supporting documentation
Draft governance-related memoranda, resolutions, and corporate records
Requirements:
Must-Haves:
Up to 10 years of combined law firm and in-house legal experience
5 years of law firm experience
Corporate secretarial experience supporting a U.S. company's Board of Directors under attorney oversight
Experience coordinating board materials and meeting preparation
Strong understanding of corporate governance practices, officer appointments, approvals, and board communications
Experience drafting board resolutions, meeting minutes, and governance documentation
Experience with state filings in Delaware, Maryland, and surrounding jurisdictions
Experience supporting multiple legal entities and subsidiary boards
Experience using governance platforms such as Diligent
Excellent written communication and organizational skills
Nice-to-Haves:
Experience supporting mutual fund board governance activities
Experience within a large corporate legal department
Prior financial services industry experience
Experience managing governance-related communications and shared inbox requests
