- Senior Corporate Paralegal
- HP is seeking a highly motivated Senior Corporate Paralegal to join our in-house Corporate Legal team, supporting a broad range of Corporate legal matters, including M&A and integrations, securities compliance and corporate governance.
- Responsibilities
- + Support M&A transactions, including due diligence, NDAs, closing deliverables, state corporate filings, securities filings, M&A-related regulatory investigations, and billing and budgeting matters + Support M&A integration and separation planning activities, including cross-functional coordination with stakeholders to integrate people, processes, policies, systems, and contracts + Support compliance with M&A and finance covenants + Support SEC filings, including Forms 10-Q, 10-K, 8-K, proxy statements, and related materials + Manage and coordinate NYSE listing standards compliance + Support corporate governance activities, including D&O questionnaire review and data verification requests + Prepare a wide variety of legal filings, reports, and research + Advise on record retention needs and efforts + Develop trainings, playbooks, and team resources + Embrace and adopt AI and other new technologies to drive efficiencies + Coordinate legal and internal stakeholder input + Review and coordinate gathering of information, materials, documents, reports, and evidence necessary to respond to due diligence requests related to public and private equity and debt offerings + Work with other members of the Corporate Legal team as well as other company functional departments on special projects and initiatives •Education and Experience Required•+ University degree preferred + Relevant paralegal certificate preferred + Notary Public a plus + 7+ yrs experience •Knowledge and Skills•+ Excellent communication skills, including written communication + Excellent organization, time management, project management, and leadership skills + Strong knowledge of and willingness to learn various state and federal legal requirements + Strong ability to self-motivate and multitask + Excellent document management skills + Strong proficiency with Microsoft Office applications, Adobe, DocuSign, and AI tools This role could be located in Houston, Texas, Vancouver, Washington, and or Palo Alto, California as a hybrid workstyle.
