About the Opportunity We are representing a Fortune 500 organization that is actively building out its M&A and Tax Planning capabilities in Houston. This is a high-priority, high-visibility initiative within a sophisticated and well-capitalized platform focused on strategic growth and complex transactions. Our firm has a strong, established partnership with this client. We have successfully placed 12 professionals across their tax organization over the past four years, giving us deep insight into the team, leadership, and what it takes to succeed in this environment. Position Overview The company is seeking a Senior Tax Attorney to join its in-house Tax Planning team, with a primary focus on supporting M&A and strategic transactions. This role offers the opportunity to work closely with senior leadership, deal teams, and cross-functional stakeholders on sophisticated domestic and international transactions. The ideal candidate will have a strong transactional tax background and experience modeling and structuring complex deals. Key Responsibilities Provide tax support across the full lifecycle of transactions, including due diligence, structuring, and financial modeling Advise on M&A transactions, including acquisitions, dispositions, joint ventures, restructurings, and financings Serve as the U.S. federal income tax lead on assigned projects; identify and coordinate state and non-income tax considerations Partner closely with legal, finance, and business teams to assess tax implications of strategic initiatives Analyze relevant U.S. and international tax laws to support tax planning strategies Collaborate with external advisors (law firms, Big 4 firms) on complex tax matters Develop, review, and refine financial models to assess tax consequences of transaction structures Draft and review tax provisions in transaction documents Prepare technical tax memoranda and opinions Clearly communicate complex tax concepts to internal stakeholders and senior leadership Core Areas of Focus Mergers & acquisitions (buy-side and sell-side) Corporate restructurings and reorganizations Capital markets and financing transactions Joint ventures and strategic partnerships Venture capital and fund investments Cross-border and international tax planning Required Bachelor's Degree Juris Doctor (JD) from an accredited institution Active membership in good standing with a State Bar 3+ years of transactional tax experience, with a focus on M&A Strong knowledge of: Subchapter K (Partnership Tax) Subchapter C (Corporate Tax) Consolidated return regulations Experience drafting and reviewing transaction documents and tax provisions Proven ability to operate in a fast-paced, deal-driven environment Preferred LL.M. in Taxation Experience at an AmLaw 100 law firm or Big 4 M&A tax practice Experience supporting complex, multi-entity or cross-border transactions Exposure to financial modeling related to tax structuring Background in a capital-intensive or transactional industry is a plus Key Competencies Strong analytical and problem-solving skills Excellent written and verbal communication Ability to manage multiple transactions and deadlines simultaneously Strong collaboration and stakeholder management skills Detail-oriented with a proactive, solutions-driven mindset Why This Role Opportunity to join a Fortune 500 platform during a strategic buildout phase High exposure to complex, high-value transactions Direct interaction with senior leadership and decision-makers Collaborative, fast-paced environment with strong internal deal flow Proven team where external hires have successfully integrated and advanced The SR Group (UK) Limited is acting as an Employment Agency in relation to this vacancy.
