Job Description
Established Portland Law firm is seeking an experienced Associate Attorney to join a well-established and growing Corporate/Real Estate practice group. This role offers meaningful client exposure and hands-on responsibility across a wide range of commercial lending and real estate matters for local, regional, and national clients. This is a great opportunity to work in a collaborative, multi-office environment handling sophisticated transactions alongside experienced attorneys, with early involvement in all phases of deal work.
Key Responsibilities:
Handle commercial lending and real estate acquisition, development, and financing matters Draft, review, and negotiate transaction documents Manage all phases of commercial real estate and loan closings Conduct title review and coordinate title insurance matters Support land use, zoning, and permitting work as needed Collaborate with attorneys across multiple offices on complex transactions Manage deadlines and client matters in a fast-paced environment Maintain strong client communication and serviceQualifications:
Juris Doctor (J.D.) from an accredited law school Active Maine bar membership (or eligibility/anticipated admission) 3+ years of experience in real estate transactions Familiarity with title, land use, and permitting issues a plus Strong drafting, negotiation, and communication skills Ability to manage complex matters independently and as part of a team This position offers a competitive compensation and benefits package, including health, dental, vision, life and disability insurance, paid time off, holidays, and retirement benefits. Contracts & Compliance Manager The Contracts & Compliance Manager oversees all client and vendor contracts, as well as company-wide compliance efforts. This role partners closely with internal teams, clients, vendors, and colleagues at to ensure strong contractual practices, adherence to requirements, and effective risk mitigation. In addition, this individual leads and advances compliance programs to ensure alignment with applicable laws, regulations, business standards, and contractual obligations. This role reports to the COO/CFO.Location:
Boston, MA (2-days a week onsite)Compensation:
$105,000 - $140,000 (401k & ESOP) Responsibilities Manage all client MSA and NDA contract reviews and compliance requests, including drafting edits and leading negotiations Support Sales and Account Management teams in negotiating individual project SOWs Advise internal stakeholders on contract and compliance requirements, policies, and processes Maintain and update client requirements exception reporting, summarizing key terms and conditions the company must follow Partner with cross-functional teams (e.g., Account Management, Client Services, Information Security, IT) to operationalize contractual obligations Ensure proper documentation is in place for all clients, projects, and committed revenue Oversee vendor onboarding processes, including MSA management, in collaboration with internal owners and external providers Maintain an approved vendor list for internal use when engaging external partners Develop and implement processes to track contract compliance across internal teams and vendors, ensuring adherence to policies, standards, and regulations while mitigating risk Manage vendor offboarding processes for both companies and individual contractors when services are no longer needed Collaborate with stakeholders to draft and establish new contracts with external partners and vendors as required Partner with Information Security to conduct vendor risk assessments and implement mitigation strategies Monitor and analyze new laws, regulations, and contract trends for potential business impact Identify, develop, and implement continuous improvements to contracts, compliance programs, policies, and processes Support additional responsibilities and special projects related to contracts and compliance, as assigned Qualifications Bachelor's degree required; JD preferred Minimum of three years of experience managing contracts and compliance processes within a professional services environment Proven ability to manage multiple priorities and stakeholders simultaneously in a matrixed organization Strong project management skills, with exceptional attention to detail and the ability to drive work from initiation through completion Excellent relationship-building and interpersonal skills, with a customer-service mindset Strong communication, collaboration, and influencing capabilities Effective negotiation and expectation-setting skills Creative problem-solving abilities with a proactive, "can-do" approach Ability to leverage technology, including AI, to drive efficiency and scalability Solid understanding of compliance best practices and information security standards Questions?
