DESCRIPTION
Amazon's Legal Department is looking for a talented attorney to support Amazon Web Services (AWS), one of the world's fastest growing technology companies. AWS provides cutting edge cloud computing services and IT infrastructure trusted by millions of customers around the world - including the fastest-growing startups, largest enterprises, and leading government agencies. This role will provide a blend of counseling and transactional support to teams dedicated to engineering, supply chain, and procurement of the technology that all AWS cloud services and customers rely upon. The transactions include a wide variety of deal types, including the following: hardware and software development agreements; technology licensing; supply, procurement, and manufacturing agreements; SaaS and hosted services agreements; and professional, operations, and support services agreements. You will work directly with a wide array of teams across AWS to help develop and launch new hardware and to manage the supply chain for these technologies deployed around the globe. You will also help identify, counsel on, and resolve a wide array of commercial, operational, legal, and other issues, but particularly on intellectual property (IP) hygiene, IP protection and licensing, and vendor engagement and negotiation strategies. This Associate Corporate Counsel will also develop, review and advise on standard operating procedures, forms, and internal policies and will develop and deliver trainings and business-facing resources to enable these teams to seamlessly develop, manufacture, and deliver products to our customers. Over time, you will learn about the business to understand and anticipate the key risks we face, partner with your clients to develop and execute appropriate mitigation strategies, and ultimately help chart long-term strategy for AWS infrastructure. We expect this role to own and deliver on diverse and complex transactions and projects simultaneously. Successful candidates will possess a clear and concise communication style, demonstrate strong organizational skills, and effectively collaborate across multiple internal teams and with counter-parties. Key job responsibilities Providing business-line counseling to infrastructure engineering and supply chain teams team to enable the development, manufacture, deployment, and maintenance of AWS cloud infrastructure technology globally for our customers. Structuring, drafting, and negotiating complex commercial and technology-related agreements, including development, supply, manufacturing services, software licensing, services, and other bespoke agreements. Supporting and directly advising business partners on legal, commercial, operational, and other risks. Developing, advising on, and implementing with the business vendor engagement, contractual, and negotiation strategies. Collaborating cross-functionally to identify and resolve commercial, operational, compliance, regulatory, security, safety, legal, and customer/vendor issues.
BASIC QUALIFICATIONS
2+ years of legal experience Juris Doctor and membership in one state bar or equivalent Experience in transactional work, including drafting and negotiating commercial contracts or equivalent
PREFERRED QUALIFICATIONS

Your Amazon package will include sign-on payments and restricted stock units (RSUs). Final compensation will be determined based on factors including experience, qualifications, and location.
