Position Summary Mesa Labs seeks an experienced, strategic, and business-minded Chief Legal Officer to lead its legal function and navigate the complex legal and regulatory landscape of a publicly traded multinational manufacturer of sophisticated tools and solutions that serve life sciences and other highly regulated industries. This new role will report directly to Mesa Lab's President & Chief Executive Officer, Dr. Siddhartha Kadia. Dr. Kadia brings more than two decades of experience leading and scaling global life sciences and testing businesses. Dr. Kadia also serves on the Company's Board of Directors. This is a highly visible and impactful role providing strategic legal leadership for the company, its management, and its Board of Directors.
Key Responsibilities CEO & Board Advisory :
Serve as the primary legal advisor to the CEO, executive management team, and the Board of Directors. Provide strategic guidance on corporate governance, SEC compliance, litigation, intellectual property, and risk mitigation.
Strategic Transactions :
Lead the legal execution of strategic transactions (mergers, acquisitions, joint ventures, strategic partnerships, etc.), including due diligence, transaction structuring, and post-merger integration in alignment with the company's growth strategy.
Corporate Governance & Risk Management :
Manage all corporate governance activities, including corporate records, Board minutes, regulatory compliance, and implement robust risk management frameworks across the enterprise to protect the company's assets and reputation. Multi-disciplinary legal advisor : This role requires a true corporate generalist, working collaboratively across the enterprise (Finance, HR, Sales, Operations, etc.), ensuring effective compliance with all relevant regulatory obligations, contractual obligations, employee matters, and managing disputes, claims and investigations.
Internal & External Resource Management :
Manage outside counsel and other external support effectively, ensuring high-quality legal support, efficient budget management and assessing and deploying cost-effective internal staffing needs.
Business Partnership :
Actively participate in team decision-making, offering pragmatic, solutions-oriented legal advice that balances legal risk with the commercial objectives of a publicly traded and rapidly growing enterprise. Qualifications 15 years of relevant legal experience, featuring a combination of top-tier law firm training and significant senior in-house leadership roles (serving as a Chief Legal Officer, General Counsel or Deputy General Counsel). Demonstrated financial acumen. Expertise in public company corporate governance. Deep experience with SEC reporting requirements, including the Securities Act of 1933, Securities Exchange Act of 1934, Sarbanes-Oxley Act of 2002, Regulation FD, Proxy Rules, and relevant reporting requirements, including Form 10-K, Form 10-Q, Form 8-K, and EDGAR Rules. Experience managing intellectual property law, employment law, litigation, international regulatory compliance, and ethics compliance. Experience in risk assessment and mitigation. Proven track record of successfully managing complex, strategic M&A transactions and serving as a trusted adviser to a highly sophisticated CEO and Board of Directors. Demonstrated ability to serve as a strategic business partner to a CEO and executive team, translating complex legal issues into clear, actionable business advice. Exceptional executive presence, communication, and leadership skills. Active state bar membership in good standing; CA Bar In-House Registration. Additional Details Work Arrangement :
This is a hybrid position. The corporate leadership team meets regularly in the company's San Diego office, however individual work is largely performed remotely. Reasonable distance to the San Diego office is required, as well as the ability to work effectively from a remote location. Occasional domestic and international travel is required.
Compensation :
Base compensation is expected to be in the $400,000 range, commensurate with experience, plus an annual cash bonus, and equity grant.
