POSITION PURPOSE
Key Code Media is seeking a dedicated and motivated part-time Contracts and Compliance Specialist to join our team. The Contracts and Compliance Specialist is responsible for reviewing, drafting, analyzing, and managing business contracts while supporting organizational compliance initiatives. This role serves as an internal resource for contract administration and risk mitigation, ensuring agreements align with company policies and business objectives. This position is ideal for an experienced paralegal or a current law student pursuing a degree with a focus on business law. The successful candidate must be able to perform contract review and compliance functions independently and exercise sound judgment without the daily supervision of an attorney. This role does not provide legal advice but supports the organization's contract management and compliance efforts.
JOB RESPONSIBILITIES
Review, analyze, and summarize a variety of business agreements, including: Vendor agreements, Customer contracts, Non-disclosure agreements (NDAs), Service agreements, Independent contractor agreements Identify potential risks, unfavorable terms, and contractual obligations. Recommend revisions and redlines based on company standards and business requirements. Draft standard contracts, amendments, addendums, and renewal agreements. Maintain contract templates and approved language libraries. Track contract expiration dates, renewals, and key obligations. Ensure contracts are completed, executed, and stored appropriately. Conduct legal research and document findings to support contract review and decision-making processes. Collaborate with clients and other team members to obtain necessary information and provide assistance as needed. Maintain accurate records of contract reviews, revisions, and approvals. Performs other duties as needed.
QUALIFICATIONS
Associate's degree, Bachelor's degree, Paralegal Certificate, or current enrollment in an accredited law school program. Minimum of 2 years of experience reviewing, drafting, or administering business contracts (preferred). Strong understanding of contract terminology and legal principles related to business agreements. Ability to independently review contracts and identify potential risks. Excellent analytical, organizational, and problem-solving skills. Exceptional written and verbal communication abilities. High level of professionalism and discretion when handling confidential information. Proficiency with Microsoft Office Suite, particularly Word and Excel. Proficiency in legal research, using legal databases, and summarizing findings. Excellent written and verbal communication skills. Strong attention to detail and the ability to maintain accurate records. A collaborative and team-oriented attitude, with the ability to work well with others.
