Our practice spans corporate law, real estate, administrative law, probate matters, and estate planning. Our clients range from small businesses to publicly traded companies. The firm is rapidly expanding, and we are in search of a detail-oriented attorney to support our increasing corporate and transactional workload. Position Summary We are seeking a mid-level associate or of counsel attorney (depending on experience) to work closely with our partners focused primarily on a corporate transactional matters . The ideal candidate will have strong experience in corporate transactions , with the ability to handle day-to-day transactional work with minimal supervision. Experience or familiarity with probate and estate matters is a plus but not required. This role offers hands-on experience, mentorship, and the opportunity to grow within a collaborative, operationally driven firm. We strongly believe in work-life balance, so both positions have reasonable annual billing expectations. Primary Responsibilities Corporate Law (Required)
  • Entity formation, structuring, and maintenance
  • Corporate governance and internal documentation
  • Drafting and negotiating contracts and commercial agreements
  • Business transactions including asset and stock purchases, mergers, share exchanges and related diligence
  • Licensing, permitting, and compliance matters
  • Operational and administrative legal support for business clients Probate & Estate Law (Preferred)
  • Assist with probate filings and estate administration, including contested and uncontested matters.
  • Comfortable appearing before the court (sometimes virtually) for hearing and/or to provide updates.
  • Draft and support estate planning related matters as needed
  • Succession planning experience Legal Drafting & Research
  • Draft and revise legal documents
  • Conduct legal research and prepare memoranda
  • Assist with transactional document review Client & Matter Management
  • Communicate with clients regarding documentation and status updates
  • Maintain organized matter records in Clio, the firm's practice management software
  • Track deadlines and follow-ups Operational Collaboration
  • Work closely with attorneys and administrative staff
  • Support efficient workflows and matter organization
  • Contribute to a technology-forward practice environment Qualifications
Required:
o J.D. from an accredited law school o Active Illinois Bar license o At least 4-years of experience in corporate law o Strong drafting, organizational, and communication skills o Experience communicating directly with clients to deliver objectives with minimal supervision o Proficiency with Microsoft 365 tools
    Preferred:
    o Experience with or exposure to probate and estate administration o Background in permitting, licensing or administrative law o Familiarity with Clio or similar legal software Ideal Candidate
