Senior Business Transactional Paralegal Overview We are seeking an experienced, highly capable Business Transactional Paralegal to join our law firm. This is a high-level position for a paralegal who has strong experience supporting attorneys in business and transactional matters and who is comfortable working independently, exercising sound judgment, and producing sophisticated, polished work. The ideal candidate is an excellent writer and drafter who can do more than prepare documents from a checklist. This person should be able to review, edit, revise, and improve contracts and legal templates , identify inconsistencies or missing information, organize complex transactions, and anticipate what an attorney will need next. This position is well suited for someone who takes pride in producing exceptionally accurate work and wants to become a trusted, long-term member of a small law firm's transactional team. Required Qualifications At least 3 years of substantive paralegal experience in business law, corporate law, transactional law, or a similar practice area. Strong understanding of business and transactional legal processes. Excellent writing, grammar, proofreading, and legal drafting skills. Demonstrated ability to edit, revise, and improve contracts, agreements, and legal templates . Strong attention to detail and ability to identify errors, inconsistencies, missing provisions, and potential issues. Ability to understand the purpose and structure of a legal document rather than simply filling in blanks. Ability to work independently while knowing when to ask an attorney for clarification or direction. Excellent organizational and time-management skills. Ability to manage multiple matters and deadlines simultaneously. Strong communication and interpersonal skills. Professional judgment, discretion, and ability to maintain strict confidentiality. Proficiency with Microsoft Office, particularly Word, including advanced document formatting and editing. Primary Responsibilities Business & Transactional Support Assist attorneys with a broad range of business and transactional matters. Prepare, revise, organize, and maintain transactional documents and closing materials. Assist with business formations, entity maintenance, mergers and acquisitions, purchases and sales of businesses, contracts, and other business transactions. Prepare and maintain corporate records, resolutions, consents, organizational documents, and related materials. Assist with due diligence by gathering, reviewing, organizing, and summarizing documents and information. Maintain transaction checklists, timelines, closing binders, and electronic files. Coordinate signatures, execution of documents, and closing requirements. Assist with preparation and organization of documents for business closings. Contract Drafting & Editing Draft legal documents and correspondence based on attorney direction and established templates. Review and edit contracts and agreements for accuracy, consistency, completeness, and clarity. Modify templates appropriately for individual clients and transactions rather than simply inserting information. Compare drafts and identify substantive and formatting differences. Proofread legal documents with an exceptional level of attention to detail. Identify provisions, information, or issues that appear inconsistent or incomplete and bring them to the attorney's attention. Help develop, improve, and maintain the firm's transactional templates and forms. Maintain consistency in language, formatting, defined terms, numbering, and cross-references throughout lengthy documents. Client & Matter Management Communicate professionally with clients, attorneys, accountants, business owners, and other professionals as appropriate. Gather information and documentation from clients and follow up on outstanding items. Maintain organized and complete client files. Track deadlines and ensure that necessary tasks and documents are completed timely. Assist attorneys in keeping matters moving forward without unnecessary administrative delays. Anticipate upcoming needs and proactively communicate outstanding issues to the attorney. What We Are Looking For The successful candidate will be someone who: Can take an attorney's general instructions and turn them into a polished work product. Has excellent written communication skills and takes grammar and word choice seriously. Is comfortable reading a contract and understanding how its various provisions fit together. Can recognize when a template does not fit a particular transaction and knows how to appropriately modify it. Is naturally curious and wants to understand why a document is structured a certain way. Notices small details that others miss. Is highly organized and follows through without constant supervision. Can manage competing priorities without becoming overwhelmed. Takes ownership of assignments and follows them through to completion. Is comfortable working in a small-firm environment where flexibility, initiative, and teamwork are important. Wants to be a trusted transactional resource for the attorneys, rather than simply an administrative assistant. Preferred Experience Preference may be given to candidates with experience in: Business formation and entity organization Operating agreements and shareholder agreements Purchase and sale agreements Commercial contracts Asset purchase agreements Stock purchase agreements Employment and independent contractor agreements Business succession planning Corporate governance and entity maintenance Due diligence Transaction closings UCC filings and related transactional matters Preparing and maintaining corporate records Performance Expectations Position Characteristics This is not an entry-level paralegal position. We are looking for an experienced professional who already possesses strong foundational skills and is ready to take meaningful responsibility for transactional matters. The right candidate will bring experience, maturity, excellent judgment, exceptional writing and drafting ability, attention to detail, and a willingness to take ownership of their work.
Pay:
$40.00 - $48.00 per hour Expected hours: 40.0 per week
