Position The Board will support the work of Feline Rescue and provide mission-based leadership and strategic governance. While day-to-day operations are led by Feline Rescue's Executive Director, the Board-Executive Director relationship is a partnership, and the appropriate involvement of the Board is both critical and expected.
Specific Board Member responsibilities include:
3. Leadership, Governance and Oversight a. Serving as a trusted advisor to the Executive Director as they implement Feline Rescue's strategic plan b. Reviewing outcomes and metrics created to evaluate Feline Rescue's impact against board-designated goals. Regularly measuring its performance and effectiveness using those metrics c. Reviewing agenda and supporting materials prior to board and committee meetings d. Approving Feline Rescue's annual budget, audit reports, and material business decisions; being informed of, and meeting all, legal and fiduciary responsibilities e. Contributing to an annual performance evaluation of the Executive Director and determining their compensation f. Assisting the Executive Director, Board Chair, and Nominating Committee in identifying and recruiting other Board Members g. Partnering with the Executive Director and other board members to ensure that board resolutions are carried out h. Serving on committees or task forces and taking on special assignments i. Representing Feline Rescue to stakeholders; acting as an ambassador for the organization j. Ensuring Feline Rescue's commitment to a diverse board and staff that reflects the communities Feline Rescue serves 4. Fundraising Feline Rescue Board Members will consider Feline Rescue a philanthropic priority and make annual gifts that reflect that priority. So that Feline Rescue can credibly solicit contributions from foundations, organizations, and individuals, Feline Rescue expects to have 100 percent of Board Members make an annual contribution that is commensurate with their capacity. 5. Board Terms/Participation Feline Rescue's Board Members will serve a three-year term. The maximum service on the board will be ten years. Board meetings will be held monthly, and committee meetings will be held as needed in coordination with full board meetings. 6. Qualifications Board members should be passionate about Feline Rescue's mission and about advancing the animal rescue community. The accomplishments of Board Members will allow them to attract other well-qualified, high- performing Board Members. Preference will be given to individuals who have achieved leadership stature in business, government, philanthropy, or the nonprofit sector. Ideal candidates will have the following qualifications: a. A commitment to and understanding of Feline Rescue's mission b. Savvy diplomatic skills and a natural affinity for cultivating relationships and persuading, convening, facilitating, and building consensus among diverse individuals c. Personal qualities of integrity, credibility, and a passion for improving the lives of Feline Rescue's cats and their owners d. Service on Feline Rescue's Board of Directors is without remuneration, except for pre-authorized administrative support, and travel, and accommodation costs in relation to Board Members' duties.
