Job Description

The Corporate Paralegal/Contract Administrator plays a key role in supporting legal and compliance operations, managing contracts, corporate records, and governance processes. This position ensures accuracy, efficiency, and compliance across corporate transactions while partnering with internal teams to streamline workflows. Job Duties
  • Drafts, reviews, negotiates and finalizes routine contracts and agreements.
  • Manages the contract review and approval process, including tracking contract status, maintaining filing systems, training internal clients on procedures, and recommending improvements to ensure proper organization and compliance.
  • Performs Know Your Customer (KYC) duties focused on supporting compliance, due diligence, and corporate governance.
  • Conducts legal research on corporate, regulatory, and compliance matters as needed.
  • Prepares routine corporate resolutions and records Board meeting minutes.
  • Maintains corporate Minute Books, issues stock certificates, and manages the formation, dissolution, and maintenance of legal entities.
  • Reviews marketing materials for compliance with Company policies and applicable requirements.
  • Supports management with special projects, workflow improvements, and other initiatives as needed. Knowledge, Skills and Abilities
  • Demonstrates a thorough understanding of legal, regulatory, and compliance matters pertinent to the position.
  • Communicates information clearly and concisely across various settings and adapts messaging to suit the audience.
  • Possesses knowledge and skills in the use of technology and tools to support the department and increase efficiency across the organization.
  • Organizes and prioritizes work in a strategic and systematic manner.
  • Assists all departments, as required.
