Job Description
Founded in 1983 by principal shareholder William I. Koch, Oxbow Carbon LLC ("Oxbow") is a global leader in recycling, marketing, and upgrading of refinery and natural gas coproducts. Oxbow produces and distributes calcined and fuel grade petroleum coke and provides bulk storage and handling services for petroleum coke and other commodities. The Corporate Paralegal/Contract Administrator plays a key role in supporting legal and compliance operations, managing contracts, corporate records, and governance processes. This position ensures accuracy, efficiency, and compliance across corporate transactions while partnering with internal teams to streamline workflows. Job Duties Drafts, reviews, negotiates and finalizes routine contracts and agreements. Manages the contract review and approval process, including tracking contract status, maintaining filing systems, training internal clients on procedures, and recommending improvements to ensure proper organization and compliance. Performs Know Your Customer (KYC) duties focused on supporting compliance, due diligence, and corporate governance. Conducts legal research on corporate, regulatory, and compliance matters as needed. Prepares routine corporate resolutions and records Board meeting minutes. Maintains corporate Minute Books, issues stock certificates, and manages the formation, dissolution, and maintenance of legal entities. Reviews marketing materials for compliance with Company policies and applicable requirements. Supports management with special projects, workflow improvements, and other initiatives as needed. Knowledge, Skills and Abilities Demonstrates a thorough understanding of legal, regulatory, and compliance matters pertinent to the position. Communicates information clearly and concisely across various settings and adapts messaging to suit the audience. Possesses knowledge and skills in the use of technology and tools to support the department and increase efficiency across the organization. Organizes and prioritizes work in a strategic and systematic manner. Assists all departments, as required. Education and Experience A bachelor's degree in legal studies (or similar field) is required. Possession of a paralegal certificate from an American Bar Association-approved program is preferred. A minimum of five years' experience as a corporate paralegal is required. Physical Requirements Typically sits or stands for extended amount of time in front of a computer. As needed, lifts, carries, or otherwise moves and positions objects weighing up to 20 pounds. May be required to move about to coordinate work. Ability to communicate or exchange ideas by means of verbal or written words to impart information to clients or to the public. Work may require occasional weekend and/or evening work. Why Join Us?
