Position Overview We are seeking an experienced and relationship-driven Director, Private Placements to join our Debt Capital Markets team. This individual will be responsible for originating, structuring, and executing 4(a)(2) private placement transactions for middle-market and large corporate clients in the US. The Director will work closely with relationship managers, corporate banking teams, and institutional investors to deliver customized capital solutions and sustainable value to clients and investors while expanding the firm's private placement platform. The ideal candidate will possess strong capital markets expertise, a deep network of institutional investor relationships, and a proven track record of sourcing and executing debt financing transactions. Key Responsibilities Lead all aspects of executing debt private placement transactions, from idea generation to final execution, including legal structuring, marketing documentation, investor negotiations, and coordination with internal teams Originate private placement opportunities through internal referral channels and direct client development efforts. Provide client coverage and strategic guidance to affiliate bankers, aiming to secure lead placement agent roles on transactions Lead the preparation efforts for investor roadshows, offering memoranda, rating agency presentations, and indicative pricing analyses based on market comparables and public secondary levels Conduct credit analysis, due diligence, and financial modeling to evaluate client suitability for private placements Maintain and grow relationships with institutional investors, including private placement analysts, to support distribution efforts Supervise and mentor junior team members, fostering development and ensuring high-quality deliverables Ensure transactions are executed in compliance with applicable policies, procedures, and regulatory requirements. Develop and maintain materials such as the master pitch book, transaction database, and templates. Stay current on market trends, economic developments, and regulatory changes to inform client strategies and product positioning Qualifications 8-10+ years of experience in private placements and/or debt capital markets Proven track record of successfully leading and executing complex private placement transactions. Strong analytical skills, including financial statement analysis, credit evaluation, and modeling Excellent communication skills, both written and verbal, with the ability to present ideas clearly to clients and investors Deep understanding of financial markets, economic trends, and their interrelationships. Advanced proficiency in Microsoft PowerPoint, Word, and Excel Detail focused, proactive, strong interpersonal and leadership skills, with the ability to manage multiple projects and stakeholders Creative problem-solving abilities and intellectual curiosity Preferred Experience Private placement agent or placement advisory experience. Experience working with middle-market companies and project finance transactions Established network of institutional investors and USPP buyers. Track record of leading complex financings and generating new client relationships. Series SIE, 63, and 79 licenses This position is eligible to earn a base salary in the range of $200,000-$250,000 based on location, experience, education, and other relevant factors.
