PURPOSE:
This position exists to ensure the financial stability and continuation of member-focused operations of the credit union. Board Members provide strategic guidance, governance and oversight, and oversee the financial management of the Credit Union on behalf of all its member-owners. The ideal candidate will possess a strong commitment to the cooperative principles, excellent leadership skills, and a deep understanding of the credit union industry including financial operations, risk management, and regulatory compliance. The position must deliver high quality service to both internal and external members by supporting and promoting our core values.
Individual Eligibility:
Must be a member of Financial Center, in good standing, having a full paid-in share on deposit and having never caused a loss to Financial Center. Must be acceptable as a bonding risk by a bonding company licensed to do business in Indiana. Has not been removed as a director, officer, committee member or employee of a financial institution by a federal or state regulator or a court with jurisdiction. Has not been convicted of a crime involving dishonesty or breach of trust Has not been convicted by a court with jurisdiction of a violation, or found in violation by a court with jurisdiction or the Indiana Department of Financial Institutions (IDFI) of any law of the state of Indiana enforced or administered by the IDFI. Is not habitually negligent in paying personal financial obligations Must complete a background check upon approval for the nomination slate. Must possess skills outlined here and that fill skill gaps within current Board makeup. Must be available for evening meetings and occasional weekend hours.
Primary Board Functions:
To provide governance for Financial Center in the following manner: Approve and review policies Plan Financial Center's strategic direction Ensure the safety and soundness of Financial Center Ensure that the mission of Financial Center is carried out Maintain open communications with members and management Select the CEO and direct and review the CEO's progress in achieving goals and objectives Report to the members as required by law
Specific Board Duties:
Work with the CEO to develop the mission, vision, strategic plan and long-range objectives for Financial Center Ensure Financial Center adheres to pertinent laws, regulations and sound business practices by establishing boundaries within which the CEO may operate and establish operational procedures. Ensure Financial Center maintains sound financial conditions and appropriate asset equity management and that Financial Center's assets are protected against unauthorized borrowing and investing. Provide for bonding and other security factors, including internal control procedures. Approve the credit union's annual budget and strategic plan. Engage the CEO, define the scope of his or her duties, and review progress in attaining the prescribed goals and objectives. Annually review and approve policies for lending, investments, asset/liability management, security, disaster recovery, technology, annual business plan, insurance and others as needed. Identify prospective future board members.
Monthly Participation:
Requires 5 - 10 hours per month of commitment to assigned Committee(s) meeting(s), a monthly Board meeting, and the Annual Meeting attended in person or virtually. May be asked to Chair a Board Committee including Investments, Personnel, Technology, Marketing, Lending, or Operations, or serve as the Board liaison to the Enterprise Risk Management Committee or Supervisory Committee. Encouraged to participate in Credit Union events as requested by management.
Desired Background:
Management experience Financial operations experience (i.e., Finance, Accounting, Audit, Budgeting, Lending, Investments, Regulatory Compliance) Information Technology experience. Other business experience as needed, such as Marketing or Human Resources. Effective written and oral communication ability. Advanced education. Experience in serving volunteer organizations or other Boards.
